Common use of Obligation of Confidentiality Clause in Contracts

Obligation of Confidentiality. Each party must keep the Confidential Information confidential and not disclose it or allow it to be disclosed to any third party except: 15.1.1 with the prior written approval of the other parties; or 15.1.2 to officers, employees and consultants or advisers of the party (or its Related Bodies Corporate) who have a need to know (and only to the extent that each has a need to know) for the purposes of this Agreement and are aware that the Confidential Information must be kept confidential; and 15.1.3 take or cause to be taken reasonable precautions necessary to maintain the confidentiality of the Confidential Information.
