Common use of Obligation of Parties Clause in Contracts

Obligation of Parties. Following issue of Termination Notice by either Party, the Parties shall promptly take all such steps as may be necessary or required to ensure that: i. until Termination the Parties shall, to the fullest extent possible, discharge their respective obligations so as to maintain the continued operation of the Project Facility; ii. The Project Facility and Project Site shall be transferred to the Concessioning Authority by the Concessionaire on the Termination Date, free from all Encumbrances, as per the provisions of Clause 6.6 (Handback of Transfer Assets) of this Agreement. iii. The Termination Payment, if any, payable by either Party in accordance with the following sub clause (f) is paid to the Other Party on the Termination Date.

(c) The Termination Payment, if any, payable by either Party in accordance with the following sub clause (f) is paid to the Other other Party on the Termination DateDate or within such time period as stipulated in this Agreement.
