Obligation of Providers. The Provider shall indemnify and hold harmless GREEN CIRCLE, Integrity Health, LLC and its affiliates and their officers, directors, employees and agents and the Plan or Plans from any and all claims asserted against GREEN CIRCLE, Integrity Health, LLC and its affiliates by any person who is not a party to this Agreement (and all related liabilities, costs and expenses of any kind whatsoever, including but not limited to attorneys’ fees and court costs), arising out of a breach by a Provider or the Provider or any Agent of a Provider or the Provider of any covenant or condition of this Agreement, or any negligent or intentional act or omission by a Provider or any Agent of a Provider.
