Obligation to Evolve. Service Provider acknowledges and agrees that its current technologies and processes shall continue to evolve and change over time, and at a minimum, shall remain consistent with the best practices of first tier providers of services that are the same as or substantially similar to the Services, with such evolutionary changes to be implemented in a manner consistent with the objectives and needs of DIR and the DIR Customers. Subject to Sections 9.5 and 9.6, Service Provider shall provide the Services using current technologies and processes that shall enable DIR and the DIR Customers to take advantage of advances in the industry.

Obligation to Evolve. Successful Respondent will cause the Services, Software and other assets used to deliver the Services, as approved by DIR, to evolve and to be modified, enhanced, supplemented and replaced as necessary for the Services, Software, and other assets used to deliver the Services to keep current with industry best practices and a level of technology that is: (1) compliant with all Laws applicable to the provision and receipt of the Services; (2) used by Successful Respondent and other top-tier IT providers in providing services similar to the Services to other customers; and (3) in general use within the IT industry. Any changes to the Services, Software, and other assets used to deliver the Services implemented in accordance with this Section will be deemed to be included within the scope of the Services to the same extent and in the same manner as if expressly described in this Agreement, at no additional charge to DIR.
Obligation to Evolve. Supplier acknowledges and agrees that its current technologies and business processes shall continue to evolve and change over time, and at a minimum, shall remain consistent with (i) the established best practices of leading providers of information technology and other in-scope services; (ii) the business, information technology objectives and competitive needs of Kraft and the Eligible Recipients; and (iii) the services, functions, processes and responsibilities that are of a nature and type that would ordinarily be performed by the organization or part of the organization performing services similar to the Services within a company in the packaged-consumer-goods industry. Supplier acknowledges that Kraft operates in an environment characterized by constant change that directly affects the delivery of Services. Subject to Section 9.5, Supplier shall provide the Services using current technologies and business processes that will enable Kraft and the Eligible Recipients to take advantage of advances in the industry and support their efforts to maintain competitiveness in the markets in which it competes. In addition, subject to Section 9.5, Supplier shall make such current technologies and business processes available to Kraft to perform information technology services and other related services and functions on behalf of itself and/or the Eligible Recipients at or from Kraft facilities. Supplier will, with Kraft’s prior approval, use such advancements and improvements without additional charge to Kraft unless such advancements and improvements fall within the definition of New Services. The foregoing shall not be interpreted to require Supplier to refresh Equipment at a rate that is faster than the rate specified in the applicable Supplement for such Equipment.
Obligation to Evolve. Subject to Section 9.6, Supplier acknowledges and agrees that its current technologies and processes utilized to perform, or provided through the Services, shall continue to evolve and change over time to (subject to Triad approval) remain consistent with (i) [**], and (ii) the objectives, budgetary constraints and competitive needs of Triad and the Eligible Recipients. Subject to Sections 9.5 and 9.6, Supplier shall provide the Services using current technologies and processes that will enable Triad and the Eligible Recipients to take advantage of advances in the industry and support their efforts to maintain competitiveness in the markets in which they compete. In addition, subject to Section 9.5, 9.6 and 11.5, Supplier shall make such current technologies and processes available to Triad to perform information technology processes and related services and functions on behalf of itself and/or the Eligible Recipients at or from Triad facilities.
Obligation to Evolve. Provider acknowledges and agrees that its current technologies and business processes shall continue to evolve and change over time, and at a minimum, shall remain consistent with the best practices of leading providers of finance and accounting business process services and the business, and finance and accounting objectives and competitive needs of Xxxxxxxx and the Eligible Recipients. Subject to SECTION 9.5, Provider shall provide the Services using current technologies and business processes that will enable Xxxxxxxx and the Eligible Recipients to take advantage of advances in the industry and support their efforts to maintain competitiveness in the markets in which it competes. In addition, subject to SECTIONS 9.5 and 11.5, Provider shall make such current technologies and business processes available to Xxxxxxxx to perform finance and accounting business processes and related services and functions on behalf of itself and/or the Eligible Recipients at or from Xxxxxxxx facilities. Xxxxxxxx may elect to conduct an annual technology and business process audit to compare Final Confidential and Proprietary Information of IBM and Xxxxxxxx Provider's then current technologies and business processes against the best practices of leading providers of finance and accounting business processes and services. If any such audit reveals that the technologies and business process then utilized by Provider are not at the level of industry best practice, then Xxxxxxxx and the Provider will review the results of the audit and establish and implement a plan to implement identified best practices.

Subject to Section 9.5, Supplier shall provide the Services using current technologies and business processes that will enable Hercules and the Eligible Recipients to take advantage of advances in the industry and support their efforts to maintain competitiveness in the markets in which it competes. In addition, subject to Sections 9.5 and 4.4, Supplier shall make such current technologies and business processes available to Hercules to perform ITO services and functions on behalf of itself and/or the Eligible Recipients.
Obligation to Evolve. Accordance with the definition of Technology and Business Evolution, Supplier acknowledges and agrees that its current technologies and business processes shall continue to evolve and change over time, and at a minimum, shall remain consistent with the accepted practices of top tier providers of BPO/Application services and, subject to Section 9.5, the business and BPO/Application objectives of Allianz and the Eligible Recipients. Subject to Section 9.5, Supplier shall provide the Services using current technologies and business processes that will enable Allianz and the Eligible Recipients to take advantage of the advances in the industry and support their efforts to maintain competitiveness in the markets in which it competes. In addition, subject to Sections 9.5 and 4.4, Supplier shall make such current technologies and business processes available to Allianz to perform BPO/Application services and functions on behalf of itself and/or the Eligible Recipients.

Subject to Section 9.5, Supplier shall provide the Services using current technologies and business processes that will support New Century and the Eligible Recipients in taking advantage of advances in the industry and support their efforts to maintain competitiveness in the markets in which it competes. In addition, subject to Section 9.5, 9.6 and 11.5, Supplier shall make such current technologies and business processes available to New Century to perform human resources, payroll, procurement, accounts payable and related functions on behalf of itself and/or the Eligible Recipients.
Obligation to Evolve. Subject to Section 9.5, Supplier shall provide the Services using current technologies and business processes that are consistent with *** that will enable the Eligible Recipients to take advantage of the advances in the industry and support their efforts to maintain competitiveness in their markets. Supplier shall identify and propose the implementation of Technology and Business Process Evolutions that are intended to: (i) improve the efficiency and effectiveness of the Services (including cost savings); (ii) improve the efficiency and effectiveness of the *** at or from CoreLogic facilities; (iii) result in cost savings or revenue increases to the Eligible Recipients in *** the Services; (iv) enhance the ability of the Eligible Recipients to conduct their businesses and serve their customers; and (v) achieve the objectives of the Eligible Recipients through receipt of the Services faster and/or more efficiently.
Obligation to Evolve. Supplier shall identify and propose the implementation of Technology and Business Process Evolutions that are likely to: (i) improve the efficiency and effectiveness of the Services (including cost savings); (ii) improve the efficiency and effectiveness of the Services and functions performed by or for the Eligible Recipients at or from Ascension Health facilities; (iii) result in cost savings or revenue increases to the Eligible Recipients in areas of their business outside the Services; (iv) enhance the ability of the Eligible Recipients to conduct their businesses and serve their customers; and (v) achieve the objectives of the Eligible Recipients faster and/or more efficiently.
