Service Provider Responsibilities. 1. Service Provider shall comply with all federal, state, and local laws, and all statutes, ordinances, rules, and regulations, and the orders and decrees of any court or administrative bodies or tribunals in any matter affecting the performance of this contract including, if applicable, workers’ compensation laws, minimum and maximum salary and wage statutes and regulations, and licensing laws and regulations. When required, Service Provider shall furnish TJJD with satisfactory proof of its compliance.
2. Service Provider shall comply with all TJJD policies and procedures related to safety and security of youth. Service Provider shall report all criminal charges or traffic violations. If applicable, Service Provider shall complete the Child Abuse Registry Check Consent Form, TJJD form HR-028, and submit it to the TJJD Manager of Criminal Background Checks Department, 00000 Xxxxxx Xxxx., Xxxx. X., Xxx. X, Xxxxxx, XX 00000.
3. Service Provider shall comply with the Prison Rape Elimination Act of 2003 (PREA) (42 U.S.C. 15601 et seq.) and with all applicable standards, rules, regulations, and TJJD policies related to PREA. TJJD PREA policies are attached hereto as (Exhibit D) and incorporated herein for all purposes. Service Provider shall complete the acknowledgment form attached to Exhibit D and submit it to Contract Specialist Xxxx Xxxxx at: xxxx.xxxxx@xxxx.xxxxx.xxx or fax to 000-000-0000.
4. Service Provider shall adhere to the individual licensee’s code of conduct and code of ethics under Texas Administrative Code, Title 22, Part 30, Chapter 681, Subchapter C.
5. Service Provider shall correct all service defects within a time period reasonable to the severity of the defect, as per agreed upon service levels.
6. If Service Provider is providing specialized treatment services to a youth that is about to be released from TJJD residential status, Service Provider is required to have a pre-release coordination phone conference call with the youth, the youth’s case manager, and Service Provider receiving staff.
Service Provider Responsibilities. At its own expense, the Service Provider shall be responsible for the following functions, which may be further described in the Program Specifications, as they may be amended from time to time:

8.2 The Service Provider will be responsible for all of the design, specification and commissioning of their equipment and plant (both active and passive) connected to PONFAS.

Service Provider affirms and agrees to comply with all standards and specifications set forth in the Standard Terms and Conditions, attached hereto as Attachment B and incorporated herein, and further agrees to provide all services in accordance and compliance with the applicable Davis County, State and Federal licensing, standards, ordinances, rules and regulations for the duration of this contract period.
B. Service Provider affirms, warrants and agrees that it will provide the services contemplated herein in strict compliance with all applicable federal, state and local laws and regulations, including, but not limited to, the provisions of Title VI, Title VII of the Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act (P.L. 101- 336, 28 CFR Part 36), the Fair Labor Standards Act, the Hatch Act, and the Age Discrimination Act of 1975. In addition, Service Provider agrees to comply with the Immigration and Naturalization requirement to obtain the I-9 Employment Eligibility Verification form from each employee. Service Provider will ensure that it will maintain a drug-free workplace in compliance with the conditions and requirements contained in 45 CFR, part 76. Service Provider will abide by Utah Executive Order dated June 30, 1989, which prohibits sexual harassment in the workplace, Section 13-7-1 et. seq., of the Utah Code, which prohibits discrimination on the basis of race, color, sex, religion, ancestry, or national origin. Service Provider also warrants and agrees to comply with the provisions of Utah Code Title 26 Chapter 38 relative to smoking in public and other places.

The following Services to be provided are covered under this Agreement: Manned free phone and mobile telephone support available to the general public and 11 council building control services Email support available to the general public and all council building control services Each district council will have a dedicated support officer from within the EPB Team who will aim to provide assistance and advice on specific queries or opinions related to EPB regulations when required within one week of receiving the query. Monthly assistance provided by the dedicated EPB support officer to each council for EPB enforcement activities. This will be commensurate to individual council requirements in relation to EPB activity Dissemination of quarterly DoF reports to all councils along with any outcomes and relevant information arising within 10 days of the meeting. Provision of advice, guidance and interpretation of EPB legislation with the aim of achieving consistency of EPB enforcement across all councils Provision of DoF liaison on behalf of the councils Provision of Landmark Register liaison through the DoF on behalf of the councils Through DoF liaison, the provision of monthly reports from the Landmark Register to assist with data collection, enforcement and EPB awareness activities Provision of training for any revisions / amendments to the EPB Regulations or recasts to the EU Directive Provision of EPB related information and web links to use on individual council websites where available Presentations to stakeholders as requested or required Provision of EPB Regulations related legal opinions Provision of EPB related data for individual council committee reports Attendance at relevant council committee meetings upon request Offer guidance and support with enforcement procedure and proceedings Provision of EPB related media information and articles within budget requirements Reporting to BCNI Committee and BCNI Managers upon request Provision of EPB advisory leaflets and literature within budget requirements Any revision or amendment to the SLA will be communicated and documented to the Customer Availability of a customer representative when resolving EPB related requests or related incidents Councils shall maintain paper and/or electronic records in such a way that enables the DoF to verify enforcement activities undertaken in any given quarter. Service Provider Responsibilities. 4.1 Unless otherwise expressly specified in the applicable Work Authorization, Service Provider shall not subcontract any of Service Provider's obligations hereunder without the prior written consent of SAS. Service Provider agrees to abide by SAS’ Business Partner Code of Conduct.
4.2 Service Provider shall not access SAS’ computing resources without SAS’ prior written authorization. Service Provider agrees to reasonably cooperate with SAS to provide the information necessary for SAS to engage a third party vendor to perform background verification for each person who will require access to SAS’ computing resources. Failure to comply with this Section 4.2 may result in termination of this Agreement.
4.3 Service Provider, assumes the responsibility for payment of all taxes, as well as all payroll taxes and any other fees or contributions arising from the operation of Service Provider's business. Service Provider shall be responsible for any liability or damages resulting from a breach of this Subsection 4.3.
4.4 Unless otherwise expressly specified in the applicable Work Authorization or in the description of insurance below, Service Provider shall for the term of this Agreement provide and maintain in full force and effect, at no additional cost to SAS, the following minimum amounts of insurance:

3.2. Service Provider covenants that: (a) the Services shall perform materially in accordance with the applicable features set forth in this Agreement; (b) Service Provider shall provide support for the Services in accordance with the applicable Service Plan selected by Customer as set forth in the Order Form (the terms and conditions governing the Service Plan being set forth in the Service Level Agreement (“SLA”), (c) Service Provider shall provide sufficient data storage to store the data generated through the Services; and (d) Customer’s data and information, as entered and gathered through the Services, shall be backed-up in a commercially reasonable manner in accordance with the schedule set forth in the SLA, including storage of back-up data off the premises of Service Provider.
3.3. During the Term, Service Provider will maintain appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of Customer Personal Data, as described in the Processing Agreement (“DPA”) which forms part of the Agreement. In the performance of this Agreement, the Parties are hereby informed that Personal Data relating to the Customer will be processed by Service Provider and by the employees and collaborators, legal representatives of both Parties. The Data will be processed in paper and electronic form by the personnel appointed by each Party for the purposes indicated below, in accordance with the laws in force and EU Regulation 2016/679.
3.4. Service Provider undertakes that each data hosting service used in connection with the Services shall be certified under the highest standards of information security such as ISO/IEC 27001 or an equivalent or superior certification (the “Security Standard”). If any such data hosting service provider fails to procure a recertification or re-accreditation as compliant with the Security Standard on no less than an annual basis, Service Provider shall transfer all data relating to the Services to a Security Standard-compliant data hosting service provider as soon as is commercially and reasonably practicable.
