Obligation to Maintain Confidentiality. Executive acknowledges that the information, observations and data (including trade secrets) obtained by him during the course of his employment with Employer concerning the business or affairs of the Parent, Employer and their respective Subsidiaries and Affiliates (“Confidential Information”) are the property of the Parent, Employer or such Subsidiaries and Affiliates, including information concerning acquisition opportunities in or reasonably related to the Parent’s and Employer’s business or industry of which Executive becomes aware during the Employment Period. Therefore, Executive agrees that he will not disclose to any unauthorized Person or use for his own account any Confidential Information without the Board’s written consent, unless and to the extent that the Confidential Information, (i) becomes generally known to and available for use by the public other than as a result of Executive’s acts or omissions to act or (ii) is required to be disclosed pursuant to any applicable law or court order. Executive shall deliver to Employer at a Separation, or at any other time Employer may reasonably request, all memoranda, notes, plans, records, reports, computer tapes, printouts and software and other documents and data (and copies thereof) relating to the Confidential Information, Work Product (as defined below) or the business of the Parent, Employer and their respective Subsidiaries and Affiliates (including, without limitation, all acquisition prospects, lists and contact information) which he may then possess or have under his control.

Executive acknowledges that the information, observations and data (including trade secrets) obtained by him during the course of his employment with Employer the Company and its Subsidiaries concerning the business or affairs of the Parent, Employer and their respective Xxxxxxx or any its Subsidiaries and Affiliates (“Confidential Information”) are the property of the Parent, Employer Xxxxxxx or such Subsidiaries and Affiliates, including information concerning acquisition opportunities in or reasonably related to the Parent’s and Employer’s business or industry of which Executive becomes aware during the Employment PeriodSubsidiary. Therefore, Executive agrees that he will shall not disclose to any unauthorized Person person or entity or use for his own account purposes any Confidential Information without the prior written consent of the Board’s written consent, unless and to the extent that the Confidential Information, (i) Information becomes generally known to and available for use by the public other than as a result of Executive’s acts or omissions to act or (ii) is required to be disclosed pursuant to any applicable law or court orderomissions. Executive shall deliver to Employer the Company at a Separationthe termination or expiration of the Employment Period, or at any other time Employer the Company may reasonably requestrequest in writing, all memoranda, notes, plans, records, reports, computer files, disks and tapes, printouts and software and other documents and data (and copies thereof) embodying or relating to the Confidential Information, Third Party Information (as defined in Section 6(b) below), Work Product (as defined in Section 6(c) below) or the business of the Parent, Employer and their respective Xxxxxxx or any other Subsidiaries and Affiliates (including, without limitation, all acquisition prospects, lists and contact information) which he may then possess or have under his control.

Executive Director acknowledges that the information, observations and data (including trade secrets) obtained by him during the course of his employment directorship with Employer the Company and its Subsidiaries concerning the business or affairs of the Parent, Employer Company and their respective its Subsidiaries and Affiliates (“Confidential Information”) are the property of the Parent, Employer Company or such Subsidiaries and Affiliates, including information concerning acquisition opportunities in or reasonably related to the ParentCompany’s and Employer’s its Subsidiaries’ business or industry of which Executive Director becomes aware during the Employment Board Period. Therefore, Executive Director agrees that he will not disclose to any unauthorized Person or use for his own account any Confidential Information without the Board’s written consent, unless and to the extent that the Confidential Information, (i) becomes generally known to and available for use by the public other than as a result of ExecutiveDirector’s acts or omissions to act or (ii) is required to be disclosed pursuant to any applicable law or court order. Executive Director shall deliver to Employer the Company at a Separation, or at any other time Employer the Company may reasonably request, all memoranda, notes, plans, records, reports, computer tapes, printouts and software and other documents and data (and copies thereof) relating to the Confidential Information, Work Product (as defined below) Information or the business of the Parent, Employer Company and their respective its Subsidiaries and Affiliates (including, without limitation, including all acquisition prospects, lists and contact information) which he may then possess or have under his control.

Therefore, Executive agrees that he will not disclose to any unauthorized Person or use for his own account any Confidential Information without the Board’s written consent, unless and to the extent that the Confidential Information, (i) becomes generally known to and available for use by the public other than as a result of Executive’s acts or omissions to act or (ii) is required to be disclosed pursuant to any applicable law or court order. Executive shall deliver to Employer at a Separation, or at any other time Employer may reasonably request, all memoranda, notes, plans, records, reports, computer tapes, printouts and software and other documents and data (and copies thereof) relating to the Confidential Information, Work Product (as defined below) or the business of the Parent, Employer and their respective Subsidiaries and Affiliates (including, without limitation, including all acquisition prospects, lists and contact information) which he may then possess or have under his control.

Executive acknowledges that the continued success of the Company and its subsidiaries or affiliates depends upon the use and protection of proprietary information, observations and data (including trade secrets) . Executive further acknowledges that the proprietary information obtained by him during the course of his employment with Employer the Company or any of its subsidiaries or affiliates concerning the business or affairs of the ParentCompany, Employer and their respective Subsidiaries and Affiliates (“Confidential Information”) are or any of its subsidiaries or affiliates is the property of the Parent, Employer Company or such Subsidiaries and Affiliatessubsidiaries or affiliates, including information concerning acquisition opportunities in or reasonably related to the Parent’s and EmployerCompany’s business or industry of which Executive becomes aware during the Employment Periodindustry. Therefore, Executive agrees that he will not disclose to any unauthorized Person person or use for his own account any Confidential Information proprietary information, whether or not such information is developed by him, without the Board’s written consent, unless and to the extent that the Confidential Information, proprietary information (i) becomes generally known to and available for use by the public other than as a result of Executive’s acts or omissions to act or (ii) is required to be disclosed pursuant to any applicable law or court order. Executive shall take reasonable and appropriate steps to safeguard proprietary information and to protect it against disclosure, misuse, espionage, loss and theft. Executive shall deliver to Employer at a Separationthe Company upon his termination of employment, or and at any other subsequent time Employer the Company may reasonably request, all memoranda, notes, plans, records, reports, computer tapes, printouts and software and other documents and data (and copies thereof) embodying or relating to the Confidential Informationproprietary information, Work Product (as defined below) or the business of the Parent, Employer and their respective Subsidiaries and Affiliates Company or any of its subsidiaries or affiliates (including, without limitation, all acquisition prospects, lists and contact information) which he may then possess or have under his control, and shall destroy any electronic copies of such materials and confirm such destruction in writing to the Company.

Therefore, Executive agrees that he will not disclose to any unauthorized Person or use for his own account any Confidential Information without the Board’s written consent, unless and to the extent that the Confidential Information, (i) becomes generally known to and available for use by the public other than as a result of Executive’s acts or omissions to act or (ii) is required to be disclosed pursuant to any applicable law or court order.
