Obligation to notify and assist. (a) Each Participant must immediately notify in writing the other Participants of any relevant changes to the terms and conditions of the insurance policies it is required to maintain under this Agreement including changes to the available coverage or limits, but only to the extent that the relevant Participant’s insurance policy does not comply with the insurance requirements specified in this Agreement. (b) The NOPs and PTV must provide the Owner Participant with all reasonable assistance and all information reasonably required by the Owner Participant within the timeframes and in the format specified by the Owner Participant to enable the Owner Participant to obtain, effect and maintain the policies referred to in clause 22.1.

Obligation to notify and assist. The Receiving Party agrees to immediately notify the Disclosing Party of any unauthorized use or disclosure of the Disclosing Party’s Confidential Information related to the Receiving Party’s possession of the Disclosing Party’s Confidential Information or any other breach of this Agreement, and the Receiving Party agrees to cooperate in every reasonable way to help the Disclosing Party regain possession of any misused or mis-disclosed Confidential Information and prevent (or limit to the extent possible) its further unauthorized use or disclosure.

  • Termination and Assignment (a) This Agreement may be terminated at any time, upon sixty days’ written notice, without the payment of any penalty, (i) by the Trustees, (ii) by the vote of a majority of the outstanding voting securities of the Fund; (iii) by Manager with the consent of the Trustees, or (iv) by Subadviser. (b) This Agreement will terminate automatically, without the payment of any penalty, (i) in the event of its assignment (as defined in the Investment Company Act) or (ii) in the event the Management Contract is terminated for any reason.

FOR THE SAKE OF CLARITY, AND WITHOUT LIMITING THE BREADTH OF THE INDEMNITY OBLIGATIONS IN SECTION 14 ABOVE, VENDOR AGREES TO PROTECT, INDEMNIFY, AND HOLD THE TIPS INDEMNITEES HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, CLAIMS, ACTIONS, DEMANDS, ALLEGATIONS, SUITS, JUDGMENTS, COSTS, EXPENSES, FEES, INCLUDING COURT COSTS, ATTORNEY’S FEES, AND EXPERT FEES AND ALL OTHER LIABILITY OF ANY NATURE WHATSOEVER ARISING OUT OF OR RELATING TO: (I) ANY UNAUTHORIZED, NEGLIGENT OR WRONGFUL USE OF, OR CYBER DATA BREACH INCIDENT AND VIRUSES OR OTHER CORRUPTING AGENTS INVOLVING, VENDOR’S DATA, PRICING, AND INFORMATION, COMPUTERS, OR OTHER HARDWARE OR SOFTWARE SYSTEMS, AND; (II) ALLEGATIONS OR CLAIMS THAT ANY VENDOR DATA INFRINGES ON THE INTELLECTUAL PROPERTY RIGHTS OF A THIRD-PARTY OR VENDOR.
