Common use of Obligation to Sell the LLC Interest or the Member Interests Clause in Contracts

Obligation to Sell the LLC Interest or the Member Interests. Optionor and the Members hereby acknowledge and agree that, if Kite Realty does not exercise the Option and/or the LLC Interest is not transferred in accordance with Article IV prior to the termination of this Agreement pursuant to Section 6.1 hereof, Optionor and the Members shall use their reasonable best efforts to sell, convey or otherwise transferas promptly as reasonably practicable100% of the LLC Interest or 100% of the Member Interests to an unaffiliated third party. Notwithstanding anything to the contrary herein, this Section 5.5 shall survive any termination of this Agreement indefinitely.
