OneSource shall promptly give the Company and Shareholders written notice of the existence or occurrence of any condition that would make any representation or warranty of OneSource untrue or result in the breach of any agreement or covenant by OneSource, or that might reasonably be expected to prevent the consummation of the transactions herein contemplated.
