Seller has satisfactorily fulfilled all obligations on its part to be fulfilled under, or in connection with, the Contract in a timely manner, including, without limitation, payment in full of all taxes and other charges payable in connection with such Contract and has done nothing to impair the rights of Pinnacle in the Contract or the proceeds thereof.
