REPRESENTATIONS AND WARRANTIES OF SELLER AS TO THE CONTRACTS. With respect to each Program Contract sold pursuant to this Sale Agreement, Seller represents and warrants to Purchaser as follows on such Sale Date:
REPRESENTATIONS AND WARRANTIES OF SELLER AS TO THE CONTRACTS. As to each Contract (and, to the extent applicable, the related Financed Vehicle) that is conveyed by the Seller to Purchaser pursuant to this Agreement, Seller makes all of the representations and warranties with respect thereto set forth in Section 4.2 of the Contract Sale Agreement, except (a) references therein to Program Contracts, Eligible Program Contracts and Sold Program Contracts shall also include Contracts conveyed by the Seller to the Purchaser pursuant to this Agreement, (b) the Contracts conveyed by the Seller to the Purchaser pursuant to this Agreement shall not be required to comply with the Purchaser's Contract Requirements set forth in Exhibit C to the Contract Sale Agreement, and (c) all references therein to the Seller's Contract Finance Program Guidelines shall be deemed to mean the Seller's and/or the Guarantor's, whichever is applicable, credit and purchasing policies and procedures existing at the time the Contract was purchased by the Seller, and the following representations and warranties, all of which shall be deemed made as of the Closing Date, unless otherwise noted:
