Common use of Obligations of Confidentiality Clause in Contracts

Obligations of Confidentiality. (i) Each party will a. use the other’s Confidential Information solely to perform its obligations under this Agreement, and disclose the other’s Confidential Information only to its agents, contractors, and employees legally bound, in writing, to keep Confidential Information confidential and only to the extent necessary for them to perform this Agreement; b. in no event use less than ordinary care to protect the other’s Confidential Information against unauthorized disclosure to any third party; and
