Common use of Obligations of the Co-Investors and the Company Clause in Contracts

Obligations of the Co-Investors and the Company. The obligations of the Co-Investors are several and not joint and the breach by any Co-Investor of its obligations hereunder shall not result in any liability being incurred by any one or more of the other Co-Investors as a result of such breach. Each of the Company, Tribute and Pozen acknowledges and agrees that should one or more Co-Investors not be ready, willing and able to subscribe for its respective Shares hereunder, any of the other Co-Investors may subscribe for such Shares in lieu of the non-performing Co-Investor. ** REMAINDER OF PAGE INTENTIONALLY LEFT BLANK**
