Common use of Obligations of University Clause in Contracts

Obligations of University. a) TWU will provide the facility and security, if necessary, for the engagement. Additional facilities and equipment may be provided as needed. If applicable, Performer’s Rider (or same) is included as an exhibit and part of this Agreement as agreed to by both Parties. b) TWU will publicize the engagement according to its own policies and procedures. c) TWU may provide a photographer, and all negatives and prints will remain the property of TWU with the condition that they will not be used for commercial gain or any other purpose other than TWU promotional materials d) TWU □MAY/□MAY NOT video record the event. If permission is given by Performer to video record, the following portion may be recorded: If the event is video recorded, all tapes shall remain the property of TWU with the condition that it will not be used for commercial gain or used by anyone other than TWU. e) TWU is hereby relieved of any liability if unable to meet the responsibilities of the Agreement because of any natural phenomenon, riots, epidemics, strikes, any act or order of public authority, or any other cause similar or dissimilar beyond the control of TWU. Furthermore, if such acts or conditions occur, TWU is not liable for any damage which Performer, his/her employees, or representative might suffer. f) TWU shall be the only party authorized to issue complimentary tickets to the performances; however, upon request by Performer, complimentary tickets may be given to the Performer. g) TWU or Performer can terminate this Agreement in writing at any time with a ten (10) day notice. TWU shall only be liable for payment of services and expenses incurred prior to termination

If permission is given by Performer Performer/Artist to video record, the following portion may be recorded: If the event is video recorded, all tapes shall remain the property of TWU with the on condition that it the video will not be used for commercial gain purposes or used by anyone other than TWU. e) TWU If TWU’s ability to host the event is hereby relieved of any liability if unable to meet the responsibilities of the Agreement because of any disrupted by natural phenomenon, riots, epidemics, strikes, any act or order of public authority, or any other cause similar or dissimilar beyond the control of TWU. Furthermore, TWU is relieved of any liability if it is unable to meet the responsibilities of the Agreement because of such acts or conditions occur, di s r u pt i o n. TWU is not liable for any damage which t h a t Performer, /Artist his/her employees, or representative representatives might suffer. f) TWU shall be the only party authorized to issue complimentary tickets to the performancesperformance; however, upon request by Performer/Artist, complimentary tickets may be given to the Performer/Artist. g) TWU or Performer can Performer/Artist may terminate this Agreement in writing at any time with a by giving ten (10) day days notice. TWU may photograph and may record the Performance in any manner, Performer’s Rider with such photos and any audio and video recordings (or samealtogether the “Recordings”) is included as an exhibit and part being the sole property of this Agreement as agreed to by both Parties. b) TWU; however TWU will publicize provide Guest Lecturer a digital copy of the engagement according to its Recordings at Guest Lecturer’s request for their own policies and procedures. cpersonal (non-commercial) TWU may provide a photographeruse. Guest Lecturer hereby agrees that all rights in the Recordings shall irrevocably, exclusively, unconditionally, and all negatives perpetually belong to TWU and prints will remain the property of TWU with the condition that they will not such rights are freely assignable by TWU. The Recordings may be used by TWU directly or indirectly for commercial gain any purpose, including without limitation advertising and promotional purposes, in any manner, and at any time TWU desires. Guest Lecturer agrees to release TWU and the Indemnitees from any and all claims, demands of causes of action for libel, defamation, invasion of privacy or right of publicity, infringement of copyright or violation of any other purpose other right arising out of or relating to any utilization of the Recordings. Other than TWU promotional materials d) TWU □MAY/□MAY NOT video record the event. If permission is given by Performer to video recordcompensation described in Section 4 for the completed Performance, the following portion may be recorded: If the event is video recorded, all tapes shall remain the property of TWU with the condition that it will not be used for commercial gain or used by anyone other than TWU. e) TWU is hereby relieved of any liability Parties are excused from performance under this contract if unable to meet the responsibilities of the Agreement because of any natural phenomenon, riots, epidemics, strikes, any act or order of public authority, or any other cause similar or dissimilar beyond the control of TWUthe Parties (a “Force Majeure Event”) for as long as the Force Majeure Event exists. Furthermore, if such acts or conditions occurIn the event of a Force Majeure Event, TWU is not liable for any damage which PerformerGuest Lecturer, his/her employees, agents or representative representatives might suffer. f) TWU shall be the only party authorized to issue complimentary tickets to the performances; however, upon request by Performer, complimentary tickets may be given to the Performer. g) TWU or Performer can terminate this Agreement in writing at any time with a ten (10) day notice. TWU shall only may charge attendees for admission at its sole option, and no additional compensation will be liable for payment due to Guest Lecturer in the event TWU receives any revenue as a result of services and expenses incurred prior to terminationthe Performance.
