Ownership and Use of Work Material. 7.1 All tools, software, programs, drawings, specifications, plans, computations, sketches, data, photographs, tapes, renderings, models, publications, statements, accounts, reports, studies, and other materials prepared by Contractor or any subcontractors in connection with Work (collectively, Work Material), whether or not accepted or rejected by University, are the sole property of University and for its exclusive use and re‑use at any time without further compensation and without any restrictions.

Contractor warrants that it is the sole owner of the instruction/presentation materials or has obtained permission from the copyright holder to use the instruction/presentation materials and has full power and authority to make this agreement; that the instruction/presentation materials do not infringe any copyright, violate any property rights, or contain any scandalous, libelous, or unlawful matter. Contractor will defend, indemnify, and hold harmless the University and/or its licensees against all claims, suits, costs, damages, and expenses that the University and/or its licensees may sustain by reason of any scandalous, libelous, or unlawful matter contained or alleged to be contained in the instruction/presentation materials or any infringement or violation by the instruction/presentation materials of any copyright or property right; and until such claim or suit has been settled ...

Vendor grants and assigns to STC all rights in and claims to the Work Material and will cooperate with STC in obtaining or enforcing such rights and claims. The Work Material will not be used by any person or organization, other than STC, on other projects unless expressly authorized by STC in writing.
Ownership and Use of Work Material. 23.1 All data, photographs, audio and video recordings, documentation, screenshots, screencasts, session notes/xxxxxxx logs, student identifying documents (including biometrics), tapes, renderings, models, publications, statements, accounts, reports, studies, exam materials, results, data, and files, and all other materials produced by Contractor as a result of its specific Services to Institution (collectively, Work Material), whether or not accepted or rejected by Institution, are the sole property of Institution and for its exclusive use and re-use at any time without further compensation and without any restrictions. For clarification purposes, Contractor IP is not Work Material and Contractor retains all ownership of such Contractor IP in accordance with Section 23.5
Ownership and Use of Work Material. 7.1 Contractor owns, has licensed or has created certain content derived from publisher for the purpose of further distributing such content in a digital format to University via sublicense.

  • OWNERSHIP AND USE OF WORK PRODUCT All reports, studies, information, data, statistics, forms, designs, plans, procedures, systems and any other materials or properties produced in whole or in part under this Agreement in connection with the performance of the Required Services (collectively “Work Product”) shall be the sole and exclusive property of City. No such Work Product shall be subject to private use, copyrights or patent rights by Consultant in the United States or in any other country without the express, prior written consent of City. City shall have unrestricted authority to publish, disclose, distribute, and otherwise use, copyright or patent, in whole or in part, any such Work Product, without requiring any permission of Consultant, except as may be limited by the provisions of the Public Records Act or expressly prohibited by other applicable laws. With respect to computer files containing data generated as Work Product, Consultant shall make available to City, upon reasonable written request by City, the necessary functional computer software and hardware for purposes of accessing, compiling, transferring and printing computer files.

  • Data Ownership and Use All data obtained from the MLS System is federally copyrighted and remains the property of MLSSAZ. MLSSAZ data is provided solely for publication on the Internet as a tool for consumers to search and view properties available for sale, which have been listed with MLSSAZ members. Utilizing the listing data for any purpose not outlined in this Agreement is not permitted and violates the copyright held by MLSSAZ.

  • OWNERSHIP AND USE OF DOCUMENTS 1.3.1 All drawings, specifications, estimates, and all other documents, including shop drawings and calculations, prepared at any time in connection with the Project, shall, upon payment for services in connection therewith, become the sole property of the State.

  • WORKMANSHIP AND MATERIALS 1.10.1 Contractor shall furnish all supervision, labor, transportation, materials, tools and equipment necessary to satisfactorily complete the service in a manner consistent with the Project Manager’s plan and schedule. Contractor’s equipment shall be of the size and type appropriate for completing the various types of work described in the contract or any associating Purchase Order. Contractor shall ensure that any equipment considered by the Project Manager to be improper or inadequate for this purpose is removed from the site and replaced with satisfactory equipment.

  • PROTECTION OF WORK AND PROPERTY Contractor shall erect and properly maintain at all times, as required by conditions and progress of the Work, all necessary safeguards, signs, barriers, lights, and security persons for protection of workers and the public, and shall post danger signs warning against hazards created by the Work. In an emergency affecting life and safety of life or of Work or of adjoining property, Contractor, without special instruction or authorization from District, is permitted to act at his discretion to prevent such threatened loss or injury.
