Obligations under Contracts and Licenses. All obligations of Seller under the Business Contracts and Business Licenses arising and to be performed on or after the Closing Date, and excluding any such obligations arising or to be performed prior to the Closing Date unless otherwise specifically enumerated and assumed in this Section 1.2;
Obligations under Contracts and Licenses. Subject to the provisions of SECTION 1.08, all obligations of the Company under the Business Contracts and Business Licenses that constitute Assets;

Obligations under Contracts and Licenses. With respect to the Siemens Laser Printer Maintenance Business those obligations of Seller under the Business Contracts listed in attached Schedule 1.1.2, and hold Seller harmless from any further service obligations.
Obligations under Contracts and Licenses. For all Business Contracts and Business Licenses assigned to Purchaser at the Closing, all obligations of Seller under the Business Contracts and Business Licenses listed in Schedule 1.01(a)(vi) or (ix) arising and to be performed on or after the Closing Date, and excluding all such obligations arising or to be performed prior to the Closing Date; and
Obligations under Contracts and Licenses. All obligations of the Companies under the Business Contracts, Licenses and licenses to and for the Intangible Personal Property arising and to be performed on or after the Closing Date, and excluding any such obligations arising or to be performed prior to the Closing Date which is not reflected on the Balance Sheet or set forth on any Schedule to this Agreement (unless not required by the terms of this Agreement to be so set forth on a Schedule);
Obligations under Contracts and Licenses. All obligations under the Business Contracts and Business Licenses, but not including any liability for any breach thereof occurring prior to the Closing Date;
Obligations under Contracts and Licenses. All obligations of WL or PD, as the case may be, under the Business Contracts and Business Licenses arising or to be performed on or after the Closing Date, and excluding any such obligations arising and to be performed prior to the Closing Date;

All obligations of MWP ---------------------------------------- under the Business Contracts and Business Licenses arising and to be performed on or after the Closing Date, and excluding any such obligations arising or to be performed prior to the Closing Date.
