Occurrence. This Agreement shall terminate on the earlier of the: 27.1.1 expiry or termination of the PFI Project Agreement; or 27.1.2 closure of the Academy; or 27.1.3 termination of the Funding Agreement save where this Agreement is to be or has been novated to a suitable replacement sponsor pursuant to the terms of the Principal Agreement; or 27.1.4 termination of the Lease pursuant to clause 5.4 and 6.7 thereof.
