The Company further agrees (i) that it will not, by amendment of its certificate of incorporation or through reorganization, consolidation, merger, dissolution or sale of assets, or by any other voluntary act, avoid or seek to avoid the observance or performance of any of the covenants, stipulations or conditions to be observed or performed hereunder by the Company, and (ii) to promptly take all action as may from time to time be required to permit the Holder to exercise this Option and the Company duly and effectively to issue the Option Shares as provided herein upon the exercise hereof. The Company shall cause the Option Shares to be listed or eligible to be quoted for trading on the NASDAQ Stock Market or on any other stock exchange or market on which Common Stock is then listed or eligible to be quoted for trading.
