Common use of Off Market Clause in Contracts

Off Market. (a) While this Agreement is in effect, neither the Property nor any part thereof may be listed or offered for sale or lease; nor may any third party offer involving all or any portion of the Property or Personal Property be sought or solicited. While this Agreement is in effect, neither SELLER nor any person or entity comprising SELLER, may accept or enter into any option, right of first refusal, letter of intent, memorandum of understanding, lease agreement, offer or contract respecting the Property. (b) While this Agreement is in effect, neither SELLER, nor any of the persons or entities comprising SELLER shall (i) solicit or encourage inquiries or proposals with respect to the Property or any portion thereof, (ii) engage in any negotiations concerning the Property or any portion thereof, (iii) provide any confidential information to, or disclose this Agreement and/or its terms to, any third party or (iv) negotiate the sale of the Property, or any part thereof, with any person or entity. (c) PURCHASER may enforce the provisions of this Section 18 at law or in equity, including by way of injunction.
