Common use of Offering Listing and Broker-Dealer Services Clause in Contracts

Offering Listing and Broker-Dealer Services. ODB shall provide a landing page to Issuer’s Offering on the Private Placements Platform and shall perform related services, including broker-dealer services, with respect to the Issuer to the extent explicitly contemplated by specific provisions contained in Schedule B-1 of this Agreement, and shall not be responsible for any duties or obligations not specifically allocated to ODB pursuant to this Agreement, which services shall be contingent upon Issuer meeting its obligations as outlined in this Agreement including Schedule B-2, and as limited by Schedule C of this Agreement (the “Services”). ODB may also, in its sole discretion, take such actions as it deems reasonably necessary to perform due diligence or investigation with respect to the Issuer and/or any Offering at any time and from time to time.
