Common use of Officer’s Certificate; Other Deliverables Clause in Contracts

Officer’s Certificate; Other Deliverables. The Chief Executive Officer of Mxxxxxx Xxxxxxxx, New BD, SMHG, the Company and PAC3 shall have delivered to Fxxxxxxx a certificate as to the satisfaction of the conditions set forth in Section 6.4(a) by Mxxxxxx Xxxxxxxx, New BD, SMHG, the Company and PAC3, as the case may be. All documents, instruments and deliverables set forth in Sections 1.7(a), 1.8 and 1.9 to be delivered to Fxxxxxxx shall have been duly executed and delivered.

The Chief Executive Officer of Mxxxxxx Xxxxxxxx, New BD, SMHG, the Company and PAC3 Fxxxxxxx shall have delivered to Fxxxxxxx PAC3 a certificate as to the satisfaction of the conditions set forth in Section 6.4(a6.3(a) by Mxxxxxx Xxxxxxxx, New BD, SMHG, the Company and PAC3Fxxxxxxx, as the case may be. All documents, instruments and deliverables set forth in Sections 1.7(a1.7(b), 1.8 and 1.9 to be delivered to Fxxxxxxx PAC3 shall have been duly executed and delivered.

The Chief Executive Officer of Mxxxxxx XxxxxxxxPAC3, New BDFxxxxxxx, SMHG, SMHG and the Company and PAC3 each shall have delivered to Fxxxxxxx Mxxxxxx Xxxxxxxx a certificate as to the satisfaction of the conditions set forth in Section 6.4(a6.1(a) by Mxxxxxx XxxxxxxxPAC3, New BDFxxxxxxx, SMHG, SHMG and the Company and PAC3Company, as the case may be. All documents, instruments and deliverables set forth in Sections 1.7(a), 1.7 and 1.8 and 1.9 to be delivered to Fxxxxxxx Mxxxxxx Xxxxxxxx and New BD shall have been duly executed and delivered.

The Chief Executive Officer of Mxxxxxx Xxxxxxxx, New BD, SMHG, the Company PAC3 and PAC3 Fxxxxxxx shall each have delivered to Fxxxxxxx SMHG a certificate as to the satisfaction of the conditions set forth in Section 6.4(a6.2(a) by Mxxxxxx Xxxxxxxx, New BD, SMHG, the Company PAC3 and PAC3Fxxxxxxx, as the case may be. All documents, instruments and deliverables set forth in Sections 1.7(a), 1.8 1.7 and 1.9 to be delivered to Fxxxxxxx SMHG and the Company shall have been duly executed and delivered.
