Offices, Records and Books of Account, Etc. The Seller shall provide the Agent and the Insurer with at least 60 days' written notice prior to making any change in the Seller's name or jurisdiction of organization or making any other change in the Seller's identity or corporate structure (including a merger) which could impair or otherwise render any UCC financing statement filed in connection with this Agreement "seriously misleading" as such term is used in the applicable UCC; each notice to the Agent or the Insurer pursuant to this sentence shall set forth the applicable change and the proposed effective date thereof. The Seller and Servicer will also maintain and implement administrative and operating procedures (including, without limitation, an ability to recreate records evidencing Receivables and related Contracts in the event of the destruction of the originals thereof), and keep and maintain all documents, books, records, computer tapes and disks and other information reasonably necessary or advisable for the collection of all Receivables (including, without limitation, records adequate to permit the daily identification of each Receivable and all Collections of and adjustments to each existing Receivable).
