Common use of OFFSET OF RENT Clause in Contracts

OFFSET OF RENT. Notwithstanding anything to the contrary contained in this Lease, Lessor and Lessee hereby agree that any and all rights or remedies afforded Lessee in connection with the Asset Purchase Agreement (the "Asset Purchase Agreement") dated May 20, 1994 by and between May Fabricating Co., Inc., May Fab - Mississippi, Inc. and May Fab - Oklahoma, Inc., collectively seller, and Waste-Quip Manufacturing Company, a wholly owned subsidiary of Waste-Quip, Inc. ("Waste-Quip") as buyer, and Waste-Quip, which relate to abatement or reduction of payments, existing or future claims to offset shall supersede any provision to the contrary contained in this Lease. In the event any such provision in the Asset Purchase Agreement is in conflict with the provisions of this Lease the provision of the Asset Purchase Agreement shall govern.
