SUCH SUMS MAY BE DIRECTLY OFFSET AGAINST THE REFUND OR LOAN PAYMENTS EXCEPT AGAINST THE REFUND AMOUNT WE ARE REQUIRED BY LAW TO MAKE BASED ON THE FORMULA SET FORTH UNDER SECTION 3.2.
