O&M obligations of the Concessionaire. 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of Ticket Counters, Workshops, Authority‟s Office and other infrastructure as mentioned in the Operation and Maintenance Schedule, (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal]; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene on the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority. 17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site but not forming part of the Bus Terminal.

(fg) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the Project Highway;
(h) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalProject Highway;
(gi) protection of the environment and provision of equipment and materials therefor;
(hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalProject Highway;
(ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and

(f) preventing, accordance with the assistance of Specifications and Standards prescribed herein, throughout the concerned law enforcement agenciesConcession Period, any encroachments on either by performing the Bus Terminal;
(g) protection of the environment and provision of equipment and materials therefor;
(h) operation and maintenance itself or by making effective and diligent arrangements for due performance of all communication, control the operation and administrative systems necessary maintenance obligations by third party(s);
b) The Concessionaire shall be required to take care of the operational expenses arising out of the Project.
c) The Concessionaire shall have the right to sub-lease / sub-license part of the Project for the efficient operation of the Bus Terminal;
(i) maintaining a public relations unit to interface with and attend to suggestions from the UsersO&M Period, passengers, government agencies, media and other agencies;
(j) complying with Safety Requirements in accordance with Article 18;
(k) operation the provisions of the Concession Agreement. All such sub-leases / licenses shall be terminable within the Concession Period and maintenance shall be co- terminus with the termination of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;
(l) maintaining punctuality and reliability in operating the Bus Terminal; and
(m) maintaining a high standard of cleanliness and hygiene on the Bus Terminalthis Agreement.
17.1.2 d) The Concessionaire shall obtain prior approval of the Concessioning Authority for a format of the standard sub-Lease / sub-license agreement before its execution with any sub- lessee / sub-license. In case, any deviation in this format of standard sub-License / sub- lease deed is required, the Concessionaire shall again obtain prior approval of the Concessioning Authority before entering into an agreement with the sub-licensee / sub- lessee.
e) The Concessionaire is expected to invest in furnishing and making the facility operational. It would provide best-in-class facilities and adhere to minimum requirements as stipulated in Schedule 3 and Schedule 4.
f) The Concessionaire shall remove promptly from the Bus Terminal Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority.

(de) undertaking routine maintenance including prompt repairs of Ticket Counterspotholes, Workshopscracks, Authority‟s Office and joints, drains, structures, pavement markings, lighting, sign boards, other infrastructure as mentioned in the Operation and Maintenance Schedule,traffic control devices, building works including white wash/ painting, any overhead/underground services;
(ef) undertaking major maintenance such as per the Maintenance Schedule resurfacing of pavements, underground and overhead services and repairs and refurbishment of the major infrastructure in the Bus Terminal]system and other equipment;
(fg) undertaking routine maintenance including prompt repairs/ replacement of all electrical works/services and electronic equipments;
(h) undertaking routine maintenance including prompt repairs/ replacement of all computer hardware, networking and software works etc;
(i) ensure to have sufficient stock of spares, at Project Site and any default/ fault is attended/ rectified/ carried out immediately for smooth functioning of the system;
(j) ensure to repair or replace any part required to be changed due to normal wear and tear. The frequency of inspection by the Concessioning Authority official shall depend on the type of equipment and recommended by the manufacturer;
(k) ensure to collect Adda Fees from the Buses entering/ exiting the Bus Terminal area, at rates stipulated in Schedule – R;
(l) ensure to maintain the Parking Areas and collection and appropriating of parking fee from the vehicles, parked at the Parking Areas, at rates stipulated in Schedule-R. However, the Concessionaire shall not charge any fee from the vehicles/ officials of Concessioning Authority;
(m) ensure to abide by the provisions of the labour welfare legislations like the Payment of Wages Act, 1936; The Payment of Xxxxx Xxx, 0000; The Minimum Wages Act, 1948; The Equal Xxxxxxxxxxxx Xxx, 0000; The Payment of Xxxxxxxx Xxx, 0000; The Employees State Insurance Act, 1948; The Workmen’s Compensation Act, 1923 and other similar legislations, rules and orders as issued from time to time;
(n) ensure that no malpractices/ overcharging/ harassment by any of the employees of the Concessionaire.
(o) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the Project Site;
(p) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalProject Site;

c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal village Rampur to Naina Devi Ji Ropeway by providing a rapid and effective response and maintaining liaison with emergency services of the State;
(cd) carrying out periodic preventive maintenance of the Bus Terminalvillage Rampur to Naina Devi Ji Ropeway;
(de) undertaking routine maintenance including prompt repairs of Ticket Counters, Workshops, Authority‟s Office and other infrastructure as mentioned in the Operation and Maintenance Schedule,village Rampur to Naina Devi Ji Ropeway;
(ef) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in village Rampur to Naina Devi Ji Ropeway; (the Bus Terminal]technology and equipment supplier shall furnish undertaking to supply spares and maintenance support to maintain the village Rampur to Naina Devi Ji Ropeway for entire concession period.
g) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the village Rampur to Naina Devi Ji Ropeway;
(fh) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminalvillage Rampur to Naina Devi Ji Ropeway;
(gi) protection of the environment and provision of equipment and materials therefortherefore;
(hj) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminalvillage Rampur to Naina Devi Ji Ropeway;
(ik) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;; and

(m) maintaining a high standard of cleanliness and hygiene on the Bus Terminal.
17.1.2 2) The Concessionaire shall remove remove, promptly from the Bus Terminal Project Site, all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project Site in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. (f) preventing, accordance with the assistance of Specifications and Standards prescribed herein, throughout the concerned law enforcement agenciesConcession Period, any encroachments on either by performing the Bus Terminal;
(g) protection of the environment and provision of equipment and materials therefor;
(h) operation and maintenance itself or by making effective and diligent arrangements for due performance of all communication, control the operation and administrative systems necessary maintenance obligations by third party(s);
b) The Concessionaire shall be required to take care of the operational expenses arising out of the Project.
c) The Concessionaire shall have the right to sub-lease / sub-license part of the Project for the efficient operation of the Bus Terminal;
(i) maintaining a public relations unit to interface with and attend to suggestions from the UsersO&M Period, passengers, government agencies, media and other agencies;
(j) complying with Safety Requirements in accordance with Article 18;
(k) operation the provisions of the Concession Agreement. All such sub-leases / licenses shall be terminable within the Concession Period and maintenance shall be co- terminus with the termination of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;
(l) maintaining punctuality and reliability in operating the Bus Terminal; and
(m) maintaining a high standard of cleanliness and hygiene on the Bus Terminalthis Agreement.
17.1.2 d) The Concessionaire shall obtain prior approval of the Concessioning Authority for a format of the standard sub-Lease / sub-license agreement before its execution with any sub- lessee / sub-license. In case, any deviation in this format of standard sub-License / sub- lease deed is required, the Concessionaire shall again obtain prior approval of the Concessioning Authority before entering into an agreement with the sub-licensee / sub- lessee.
e) The Concessionaire is expected to invest in furnishing and making the facility operational. It would provide best-in-class facilities and adhere to minimum requirements as stipulated in Schedule 3 and Schedule 4.
f) The Concessionaire shall remove promptly from the Bus Terminal Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority.
17.1.3 g) The Concessionaire shall maintaincomply with all the Safety requirements as prescribed under any statue, in conformity with Good Industry Practiceregulation, all stretches bye laws and under good industry practice as applicable for such kind of approach roads or projects;
h) Carry out periodic preventive maintenance and periodic renovation of the Project Facilities;
i) Undertaking routine maintenance including prompt repairs of potholes, cracks, joints, structures, buildings, replacement of lights, pavement lighting, road signs, electricity lines, telephone lines, water facilities, sewage system and other structures situated public amenities on the Site but not forming part Site;
j) Undertaking major maintenance such as resurfacing of roads, pavements, repairs to structures and buildings including repairs and refurbishment of other infrastructure and Project Facilities;
k) Maintaining a public relations unit to interface with and attend to suggestions from the users, government agencies, media and other agencies
16.1.2 In case the Selected Bidder didn’t itself meet the eligibility criteria as per Technical Capacity- 1 [O&M Experience] of the Bus TerminalRFP:
a) The operation & maintenance obligations of the Convention Centre and Hotel shall be entrusted to an Operating Partner, who satisfies the criteria of Technical Capacity 1 [O&M Experience] in the RFP, for the entire duration of Operator Lock-in Period (COD and COD+60 months).
b) The Concessionaire shall enter into an O&M Contract with the Operating Partner before COD. A copy of the O&M Contract shall be provided to the Authority and the same shall not be amended, substituted or revoked without the prior written consent of the Authority;
c) The Authority shall monitor whether the Operating Partner is operating the Convention Centre and Hotel at all times during the Operator Lock-in Period, failing which the Authority shall issue a Show Cause Notice, informing the Concessionaire of its decision to forfeit the Additional Performance Security. The Authority shall be entitled to forfeit and appropriate the Additional Performance Security, after 30 days of such Show Cause Notice, as mentioned in Article 9.4, if the Concessionaire fails to satisfy the Authority in response to the Show Cause Notice;
d) In case of forfeiture of the original Additional Performance Security by the Authority as mentioned in point c) above, the Concessionaire shall be required to replenish and renew the Additional Performance Security, to its original amount, within 15 (fifteen) days of forfeiture of the original Additional Performance Security. The renewed and replenished Additional Performance Security shall be kept valid and in force and effect up to a period of six months beyond the expiry of the Operator Lock-in Period;
e) Upon such renewal and replenishment of Additional Performance Security by the Concessionaire, the Authority shall grant to the Concessionaire, additional time of 90 (ninety) days from the date the forfeiture of original Additional Performance Security to re-board the Operating Partner or on-board a Replacement Operating Partner (which also meets the criteria defined in Technical Capacity 1 of the RFP), failing which the Authority shall take the following measures:
i. Forfeit the replenished Additional Performance Security; and
ii. Declare Concessionaire Event of Default, leading to Termination, after the expiry of Cure Period as mentioned in Article 25.1.
16.1.3 The details of Scope of Work and the obligations of Concessionaire during Operations Period have been given in the Schedules to this Agreement.
16.1.4 The selected Concessionaire shall have to provide 7-days rent free space (“Event Days”), every year, to Government of Punjab’s agencies for hosting various government events and functions:
a) The number of Event Days shall not be transferable to next year.
b) The line department for managing the bookings shall be GMADA.
c) The Convention Centre / events space shall be provided rent free. However, other services including accommodation and F&B shall be chargeable and payable as per negotiated rates.
d) Further, the concerned agency shall be required to book the space at least 3-months in advance of the event date.
e) However, if the Concessionaire already has a conflicting booking, the Concessionaire would retain the right to refuse the booking and suggest alternate dates.

(a) permitting safe, smooth and uninterrupted flow of traffic passengers on the Bus Terminal Haji Bunder (Sewree) to Elephanta Island Ropeway during normal operating conditions;
(b) collecting and appropriating the Fee;
(c) minimising disruption to traffic in the event of accidents or other incidents affecting the safety and use of the Bus Terminal Haji Bunder (Sewree) to Elephanta Island Ropeway by providing a rapid and effective response and maintaining liaison with emergency services of the State;
(cd) carrying out periodic preventive maintenance of the Bus TerminalHaji Bunder (Sewree) to Elephanta Island Ropeway;
(d) undertaking routine maintenance including prompt repairs of Ticket Counters, Workshops, Authority‟s Office and other infrastructure as mentioned in the Operation and Maintenance Schedule,
(e) undertaking major routine maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal]Haji Bunder (Sewree) to Elephanta Island Ropeway;
(f) undertaking major maintenance of the Haji Bunder (Sewree) to Elephanta Island Ropeway; (the technology and equipment supplier shall maintain the Haji Bunder (Sewree) to Elephanta Island Ropeway for a minimum of 10 years (g) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal;
(g) protection unauthorised use of the environment and provision of equipment and materials thereforHaji Bunder (Sewree) to Elephanta Island Ropeway;
(h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal;
(i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;
(j) complying with Safety Requirements in accordance with Article 18;
(k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;
(l) maintaining punctuality and reliability in operating the Bus Terminal; and
(m) maintaining a high standard of cleanliness and hygiene on the Bus Terminal.
17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority.
17.1.3 The Concessionaire shall maintain, in conformity with Good Industry Practice, all stretches of approach roads or other structures situated on the Site but not forming part of the Bus Terminal.

(e) undertaking major maintenance such as per the Maintenance Schedule track replacement, repairs to structures, repairs and refurbishment of the major infrastructure in the Bus Terminal]signaling and communication system, overhaul of Traction System and other equipment;
(f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus TerminalRail System;
(g) protection of the environment and provision of equipment and materials therefor;
(h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus TerminalRail System;
(i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies;
(j) complying with Safety Requirements in accordance with Article 18;19; and
(k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;.

(h) operation and maintenance itself or by making effective and diligent arrangements for due performance of all communication, control the operation and administrative systems necessary maintenance obligations by third party(s);
b) The Concessionaire shall be required to take care of the operational expenses arising out of the Project.
c) The Concessionaire shall have the right to sub-lease / sub-license part of the Project for the efficient operation of the Bus Terminal;
(i) maintaining a public relations unit to interface with and attend to suggestions from the UsersO&M Period, passengers, government agencies, media and other agencies;
(j) complying with Safety Requirements in accordance with Article 18;
(k) operation the provisions of the Concession Agreement. All such sub-leases / licenses shall be terminable within the Concession Period and maintenance shall be co- terminus with the termination of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;
(l) maintaining punctuality and reliability in operating the Bus Terminal; and
(m) maintaining a high standard of cleanliness and hygiene on the Bus Terminalthis Agreement.
17.1.2 d) The Concessionaire shall obtain prior approval of the Concessioning Authority for a format of the standard sub-Lease / sub-license agreement before its execution with any sub- lessee / sub-license. In case, any deviation in this format of standard sub-License / sub- lease deed is required, the Concessionaire shall again obtain prior approval of the Concessioning Authority before entering into an agreement with the sub-licensee / sub- lessee.
e) The Concessionaire is expected to invest in furnishing and making the facility operational. It would provide best-in-class facilities and adhere to minimum requirements as stipulated in Schedule 3 and Schedule 4.
f) The Concessionaire shall remove promptly from the Bus Terminal Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority.
17.1.3 g) The Concessionaire shall maintaincomply with all the Safety requirements as prescribed under any statue, in conformity with Good Industry Practiceregulation, all stretches bye laws and under good industry practice as applicable for such kind of approach roads or projects;
h) Carry out periodic preventive maintenance and periodic renovation of the Project Facilities;
i) Undertaking routine maintenance including prompt repairs of potholes, cracks, joints, structures, buildings, replacement of lights, pavement lighting, road signs, electricity lines, telephone lines, water facilities, sewage system and other structures situated public amenities on the Site but not forming part Site;
j) Undertaking major maintenance such as resurfacing of roads, pavements, repairs to structures and buildings including repairs and refurbishment of other infrastructure and Project Facilities;
k) Maintaining a public relations unit to interface with and attend to suggestions from the Bus Terminalusers, government agencies, media and other agencies
16.1.2 The details of Scope of Work and the obligations of Concessionaire during Operations Period have been given in the Schedules to this Agreement.

17.1.3 g) The Concessionaire shall maintaincomply with all the Safety requirements as prescribed under any statue, in conformity with Good Industry Practiceregulation, all stretches bye laws and under good industry practice as applicable for such kind of approach roads or projects;
h) Carry out periodic preventive maintenance and periodic renovation of the Project Facilities;
i) Undertaking routine maintenance including prompt repairs of potholes, cracks, joints, structures, buildings, replacement of lights, pavement lighting, road signs, electricity lines, telephone lines, water facilities, sewage system and other structures situated public amenities on the Site but not forming part Site;
j) Undertaking major maintenance such as resurfacing of roads, pavements, repairs to structures and buildings including repairs and refurbishment of other infrastructure and Project Facilities;
k) Maintaining a public relations unit to interface with and attend to suggestions from the users, government agencies, media and other agencies
16.1.2 In case the Selected Bidder didn’t itself meet the eligibility criteria as per Technical Capacity- 1 [O&M Experience] of the Bus TerminalRFP:
a) The operation & maintenance obligations of the Convention Centre and Hotel shall be entrusted to an Operating Partner, who satisfies the criteria of Technical Capacity 1 [O&M Experience] in the RFP, for the entire duration of Operator Lock-in Period (COD and COD+60 months).
b) The Concessionaire shall enter into an O&M Contract with the Operating Partner before COD. A copy of the O&M Contract shall be provided to the Authority and the same shall not be amended, substituted or revoked without the prior written consent of the Authority;
c) The Authority shall monitor whether the Operating Partner is operating the Convention Centre and Hotel at all times during the Operator Lock-in Period, failing which the Authority shall issue a Show Cause Notice, informing the Concessionaire of its decision to forfeit the Additional Performance Security. The Authority shall be entitled to forfeit and appropriate the Additional Performance Security, after 30 days of such Show Cause Notice, as mentioned in Article 9.4, if the Concessionaire fails to satisfy the Authority in response to the Show Cause Notice;
d) In case of forfeiture of the original Additional Performance Security by the Authority as mentioned in point c) above, the Concessionaire shall be required to replenish and renew the Additional Performance Security, to its original amount, within 15 (fifteen) days of forfeiture of the original Additional Performance Security. The renewed and replenished Additional Performance Security shall be kept valid and in force and effect up to a period of six months beyond the expiry of the Operator Lock-in Period;
e) Upon such renewal and replenishment of Additional Performance Security by the Concessionaire, the Authority shall grant to the Concessionaire, additional time of 90 (ninety) days from the date the forfeiture of original Additional Performance Security to re-board the Operating Partner or on-board a Replacement Operating Partner (which also meets the criteria defined in Technical Capacity 1 of the RFP), failing which the Authority shall take the following measures:
i. Forfeit the replenished Additional Performance Security; and
ii. Declare Concessionaire Event of Default, leading to Termination, after the expiry of Cure Period as mentioned in Article 25.1.
16.1.3 The details of Scope of Work and the obligations of Concessionaire during Operations Period have been given in the Schedules to this Agreement.
16.1.4 The selected Concessionaire shall have to provide 7-days rent free space (“Event Days”), every year, to Government of Punjab’s agencies for hosting various government events and functions.
a) The number of Event Days shall not be transferable to next year.
b) The line department for managing the bookings shall be ADA.
c) The Convention Centre / events space shall be provided rent free. However, other services including accommodation and F&B shall be chargeable and payable as per negotiated rates.
d) Further, the concerned agency shall be required to book the space at least 3-months in advance of the event date.
e) However, if the Concessionaire already has a conflicting booking, the Concessionaire would retain the right to refuse the booking and suggest alternate dates.

O&M obligations of the Concessionaire. 17.1.1 16.1.1 During the Operation Concession Period, the Concessionaire shall operate and maintain the Bus Terminal Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include:
(a) permitting safe, smooth Ensuring optimal operations and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions;
(b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State;
(c) carrying out periodic preventive maintenance of the Bus Terminal;
(d) undertaking routine maintenance including prompt repairs of Ticket CountersProject Facilities, Workshops, Authority‟s Office and other infrastructure as mentioned in the Operation and Maintenance Schedule,
(e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal];
(f) preventing, accordance with the assistance of Specifications and Standards prescribed herein, throughout the concerned law enforcement agenciesConcession Period, any encroachments on either by performing the Bus Terminal;
(g) protection of the environment and provision of equipment and materials therefor;
(h) operation and maintenance itself or by making effective and diligent arrangements for due performance of all communication, control the operation and administrative systems necessary maintenance obligations by third party(s);
b) The Concessionaire shall be required to take care of the operational expenses arising out of the Project.
c) The Concessionaire shall have the right to sub-lease / sub-license part of the Project for the efficient operation of the Bus Terminal;
(i) maintaining a public relations unit to interface with and attend to suggestions from the UsersO&M Period, passengers, government agencies, media and other agencies;
(j) complying with Safety Requirements in accordance with Article 18;
(k) operation the provisions of the Concession Agreement. All such sub-leases / licenses shall be terminable within the Concession Period and maintenance shall be co- terminus with the termination of all Project Assets diligently and efficiently and in accordance with Good Industry Practice;
(l) maintaining punctuality and reliability in operating the Bus Terminal; and
(m) maintaining a high standard of cleanliness and hygiene on the Bus Terminalthis Agreement.
17.1.2 d) The Concessionaire shall obtain prior approval of the Concessioning Authority for a format of the standard sub-Lease / sub-license agreement before its execution with any sub- lessee / sub-license. In case, any deviation in this format of standard sub-License / sub- lease deed is required, the Concessionaire shall again obtain prior approval of the Concessioning Authority before entering into an agreement with the sub-licensee / sub- lessee.
e) The Concessionaire is expected to invest in furnishing and making the facility operational. It would provide best-in-class facilities and adhere to minimum requirements as stipulated in Schedule 3 and Schedule 4.
f) The Concessionaire shall remove promptly from the Bus Terminal Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste waterwastewater), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal Project in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. [For the avoidance of doubt, it is agreed that the debris and material excavated shall be carried to and deposited at a convenient location as specified by the Authority.
