Only Express Written Agreements Binding. RIDA acknowledges and agrees that no Person acting on behalf of a Public Entity is authorized to make, and that except as expressly set forth in this Sublease and the Contemporaneous Agreements to which RIDA or a Public Entity is a party, none of the Public Entity Parties nor anyone acting for or on behalf of a Public Entity has made any representation, warranty, agreement, statement, guaranty or promise to RIDA, or to anyone acting for or on behalf of XXXX, concerning the Condition of the Site or any other aspect of the Site. XXXX further acknowledges and agrees that no representation, warranty, agreement, statement, guaranty or promise, if any, made by any Person for or acting on behalf of a Public Entity which is not expressly set forth in this Sublease and the Contemporaneous Agreements as of the Commencement Date will be valid or binding on a Public Entity. The City acknowledges and agrees that no representation, warranty, agreement, statement, guaranty or promise, if any, made by any Person for or acting on behalf of RIDA which is not expressly set forth in this Sublease and the Contemporaneous Agreements as of the Commencement Date will be valid or binding on RIDA.
