ONLY WITH CONSENT. The Issuer shall not consolidate or merge with or into any other Person, or convey or transfer all or substantially all of its properties to any Person without the prior written consent of the Note Purchaser and the Majority Noteholders.
ONLY WITH CONSENT. A Member may withdraw as a Member of the Commission only upon the unanimous consent of the Board of Commissioners and upon the consent of each other Member by ordinance or resolution of its corporate authorities. The Commissioner for the Member requesting withdrawal shall not vote on that Member’s request for withdrawal.
