Operating Agreement Controls. To the extent that the rights or obligations of the Members or the Company under provisions of this Operating Agreement differ from what they would be under Texas law absent such a provision, this Agreement, to the extent permitted under Texas law, shall control.

None of the Pre-Development Budget, the Business Plan, or the Operating Budget, as any of them may be amended or revised from time to time (the “Budgets and Plans”) shall be deemed an amendment of this Agreement. To the extent that any provision of any of the Budgets and Plans deals with the same matter as this Agreement, the provisions of this Agreement shall control.
