Obligations of the MemberThe Member agrees to: a) Cooperate fully with ERNW in all matters pertaining to claims administration, loss prevention, loss control, including but not limited to: i) immediately notify ERNW of any occurrence which could result in a workers’ compensation claim; ii) providing any and all information and evidence related to any said claim; iii) meeting with ERNW or L&I representatives as necessary for the purpose of investigating, defending, or resolving any said claim; iv) appearing at any official meetings or hearings of L&I related to any said claim; and v) actively assisting ERNW in efforts to return an injured employee to work. b) Make a good-faith effort to act upon and implement loss prevention and loss control measures suggested by the Association, L&I and/or ERNW including offering an injured employee a light duty alternative if said light duty is reasonable under the circumstances. c) Maintain their industrial insurance account at L&I in “good standing” through the timely payment of any and all premiums, penalties, fees and assessments due L&I. d) Maintain membership in “good standing” with the Association, including the prompt payment of all dues, assessment and fees due the Association or the Program. e) Participate in at least one (1) workers’ compensation in-person training offered by the Association every three (3) years. f) Assume financial responsibility for legal, expert witness, and/or surveillance costs in the event that the Member deems that such services are necessary. g) Accept the decision of the Association if it is determined that the Member has failed to comply with the requirements of paragraph 4 of this Agreement. i) Said Member shall be deemed in default hereunder and shall no longer be eligible for program participation until such time as the Association reinstates said Member. ii) Any Member deemed “in default” shall forfeit the right to participate in any refund adjustments for any Program plan year in which they participated.

Obligations of the Member. 8.4.1 In respect of the Appointment, the Member agrees: 8.4.1.1 to act towards Fram Farmers conscientiously and in good faith and not to allow its interests to conflict with the duties that it owes to Fram Farmers under this Contract and Applicable Law; 8.4.1.2 provided always that Fram Farmers performs its obligations in accordance with the Appointment, to indemnify Fram Farmers against any liabilities which Fram Farmers may incur as a result of acting with reasonable care and skill within the scope of its authority under the Appointment as agent for the Member; 8.4.1.3 to inform Fram Farmers within a reasonable time if any Transaction concluded on its behalf by Fram Farmers will not be performed by the Member, and of the reason for such non-performance; and 8.4.1.4 to satisfy the Member Statements in accordance with the process set out at section 5.

Obligations of the Member. 4.1 For services provided by Titanium and Titanium's Internet textile trade center, the member agrees to pay Titanium the service fees in accordance with Schedule "A". The service fees will be due and payable by the member at the end of each month when Titanium submits its invoice to the member. 4.2 The member shall promptly fulfil the purchase orders forwarded by Titanium to the member. In the event that the member cannot fulfil a particular purchase order, the member shall notify Titanium by email or telephone within 48 hours of the dispatch of purchase order by Titanium. 4.3 The member shall maintain the confidentiality of purchasers' credit card information forwarded to it by Titanium. The member shall charge to the purchasers' credit cards only the total amount of purchase price plus any shipping and handling charge. If Titanium receives any dispute from a purchaser, the member agrees to resolve its dispute with the purchaser directly and reimburse Titanium for any costs incurred in connection with the dispute.
Obligations of the Member. 2.1 With effect from the date on which this Membership Agreement is entered into, the Member agrees to: 2.1.1 comply with and be bound by the Terms and all rights, obligations and liabilities pursuant to the Terms as if the Terms were set out in this Membership Agreement; 2.1.2 be subject to and bound by all Transactions; 2.1.3 be responsible for the acts and omissions of its Representatives, employees and Sub-Account Holders, as set out in the Terms; 2.1.4 immediately pay on first demand without any deduction, set-off or withholding whatsoever: (a) the sum of £20.00 shareholding (4 x £5 shares) in respect of the Shares; and (b) the Annual Membership Fee, and 2.1.5 submit to the jurisdiction and be bound by any decision, determination, direction, sanction, requirement or award of any arbitral tribunal, court or other body appointed or formed pursuant to the Terms or that has jurisdiction over any matter in accordance with the Terms. 2.2 The Member understands that each Order submitted to Fram Farmers may result in Fram Farmers entering into one or more binding Transactions with a Supplier on its behalf as agent for the Member. In consideration of this, the Member agrees to pay all sums due in respect of all Invoices rendered to the Member by Fram Farmers in accordance with the Terms.

Obligations of the Member. 3.1 The Member agrees to transmit to SOGHU, in writing, including electronically or by way of a spreadsheet, within thirty (30) days of the end of each month, the details of the quantities of lubricating oils and filters contemplated by the Regulation which it markets in the Province of Québec and the total capacity of oil or fluid containers holding 50 litres or less marketed during each of these periods. The Member shall annually transmit to SOGHU, the details of its sales of oils, by Lubricating oil types. 3.2 In consideration of its membership in SOGHU, the Member agrees to remit the following amounts to SOGHU: a) membership fees in an amount of $200 and the taxes pertaining thereto; b) an annual duty, as determined from time to time by SOGHU; c) the EHCs and the taxes pertaining thereto, based on the volume of products sold or supplied by the Member in the Province of Québec, as determined by SOGHU in Schedule 1 hereof, as amended from time to time. 3.3 The EHCs shall be disbursed by the Member to SOGHU on a monthly basis, within 30 days of the end of each month and shall be accompanied by the Form which must accompany the monthly payment of the EHCs, appended hereto as Schedule 2, as amended from time to time by SOGHU. 3.4 In the event that the Member omits to pay the amounts due hereunder when due, the Member shall pay interest equivalent to the Prime Rate on the arrears effective from the due date. The interest shall be payable on request and, in all cases, no later than the date the next payment becomes due. 3.5 The Member agrees to remit to SOGHU within 30 days of the signing hereof, the EHCs on all the products sold or supplied by it between December 1, 2004 and the date when the Member actually becomes a Member of SOGHU. 3.6 The Member agrees to remit to SOGHU, upon signing and execution hereof, an up-to-date list including the name and address of its directors and officers, and its name, address and registration number, as the case may be. This information shall be transmitted to RECYC-QUÉBEC under the terms of Section 9 of the Certification Agreement. SOGHU shall remit the said information to RECYC- QUÉBEC. 3.7 The Member agrees to collaborate with SOGHU in its efforts to inform consumers of the existence and operation of the recovery system, its accessibility and the advantages of the recovery and recycling system of the products described in the Regulation. 3.8 The Member also agrees to collaborate with SOGHU in order to favor the implement...
Obligations of the Member. 3.1.1 At the time of its online registration and in respect of each Declaration, the Member undertakes to provide full and accurate information, and to keep this up to date without undue delay (in particular with regard to the list of its Principals). 3.1.2 The login details provided to the Member to enable it to identify itself and to log on to the extranet are personal and confidential. The Member is therefore entirely responsible for the use made of its login details. All connections made to the extranet or any transmission of data using the Member’s login details will be logged. 3.1.3 The Member shall submit the Declaration of the quantities of Products marketed by it during year N-1 no later than 15 March of year N, in accordance with the procedure established on the extranet xxxxx://xxxxxxxx.xxxxxxxxx.xx/. This date may be changed and if so, will be communicated on the website and the extranet. As a specific exception to paragraph 1 of Article 3.1.3, the Member shall reconcile, as promptly as possible, the Declarations concerning the quantities of Contributing Products marketed by it during year N-3 and year N-2, which it has not yet completed. 3.1.4 The Member shall pay the Contribution and the administrative costs under the conditions referred to in Articles 5 and 8 hereof respectively. 3.1.5 As from 01/01/2022 each marketer shall have a Unique Identification number with the ADEME, following registration by Eco TLC-Refashion in the SYDEREP tool.
