Operating Responsibilities. During any interruption of the normal operation of the EIM, the CAISO as Balancing Authority shall remain responsible for managing the resources in its Balancing Authority Area, and the flows on transmission lines internal to the CAISO Balancing Authority Area, including imports and exports, for the duration of the interruption.

Operating Responsibilities. Broker will perform the Services as an independent contractor and neither its employees nor agents will be deemed to be those of Shipper. Broker will be responsible for arranging the procurement of vehicles to be used to provide the pick-up, transport and delivery services. No authority has been conferred upon Broker or Selected Carrier by Shipper to hire any persons on behalf of Shipper and Broker or Selected Carrier will assume full responsibility for selecting, engaging and discharging their respective employees, agents, servants or helpers and for otherwise directing and controlling their services. Broker will assume full responsibility for complying with all applicable laws and regulations for the benefit of its employees and under no circumstances will Shipper be liable for the debts or obligations of Broker for the wages, salaries, or benefits of Broker’s employees. Broker will notify Shipper promptly by telephone of any accident, spill, theft or other occurrence that impairs the safety of or delays the delivery of Shipper’s products.
Operating Responsibilities. Each Party, if applicable, shall exercise reasonable care to design, construct, maintain, and operate its Transmission System, in accordance with Good Utility Practice and applicable PJM Requirements, and in such manner as to avoid the unauthorized use of the generation or transmission facilities of any other person, including such facilities of the other Party (hereinafter referred to as “Unauthorized Use”). Each Party may install and operate on its Transmission System such relays, disconnecting devices, and other equipment, as it may deem appropriate for the protection of its Transmission System or prevention of Unauthorized Use. Each Party shall maintain and operate its respective Transmission System so as to reasonably minimize, in accordance with Good Utility Practice, the likelihood of a disturbance originating on its Transmission System, which might cause impairment to the service of the other Party.
Operating Responsibilities. Each Party shall maintain its Transmission System, including the transmission equipment and facilities, in a manner consistent with Good Utility Practice in order to permit Dominion Energy to operate its Transmission System as required by this Agreement and PJM, and to permit DEP to operate its Transmission System as required by this Agreement. Operating arrangements for facility maintenance shall be coordinated between operating personnel of the Parties’ respective control centers. Except as may be necessary and appropriate in an emergency, operating arrangements shall be coordinated with PJM in accordance with PJM Requirements as between Dominion Energy and PJM, and in accordance with the PJM-DEP Joint Operating Agreement as between DEP and PJM.
Operating Responsibilities. Processor hereby undertakes the following operating responsibilities, at Processor's sole cost and expense, in addition to the Installation Costs: (a) build out or reconfigure Processor’s Plant layout to accommodate installation and operation of the iPura System, as required by Section 3.2; (b) process the Product ordered by Buyer as Processor usually does, with adequate personnel and on a schedule reasonably satisfactory to ensure processing of all of Buyer's orders on a timely basis, but in no case less than schedules agreed to under any purchase order or other contract governing such order; (c) provide all personnel other than the iPura Food Safety Team necessary or desirable, in GFT’s determination, to perform routine labor in the iPura System’s processing lines or other work areas consistent with the requirements of Section 5.2(b) above; (d) provide adequate workspace as required by GFT for the installation, operation and maintenance of the iPura System and GFT Personnel; (e) provide chillers in good working condition and having sufficient capacity and capability to fully support the iPura System at Processor’s plant, as GFT may require; It is agreed that present chillers are sufficient for GFT purposes, provided that they are in good working order. (f) provide sufficient parking space for GFT personnel and GFT’s vehicles if so requested by GFT; (g) provide all utilities, such as but not necessarily limited to electrical, gas, sewer and water services, and telephone and broadband Internet access, determined by GFT to be necessary or desirable to operate the iPura System; (h) provide storage area(s) for needed Parts/Tools/Supplies and other materials needed for the activities and operations pursuant to this Agreement; (i) deliver freshly processed Product, free of antibiotics or other drugs not approved for food under any applicable Governmental Authority, such as but not limited to the United States Federal Food, Drug, and Cosmetic Act (the “FFDCA”), to the GFT work area (by conveyor belt or some other delivery process) in a steady flow of work to easily enable final processing of Buyer's orders of Product (and only such Product) through the iPura System (avoiding build-up and delivery of multiple “batches”); (j) package all Treated Product, including affixing proper labeling to the exterior of such packaging, in conformance with the descriptions and requirements set forth in each respective purchase order of Buyer and all applicable Governmental Auth...
Operating Responsibilities. The management, administration and operational responsibilities delegated to the Manager, Operator and Supply Manager pursuant to the Management Services Agreements, the O&M Agreements and the Gas and Power Supply Services Agreement, collectively, constitute all the management, administration and operational obligations of the Loan Parties pursuant to the Transaction Documents.

Operating Responsibilities. VENDOR shall conform to and abide by all municipal and County ordinances, and all state and federal laws and regulations, insofar as the same or any of them are applicable; and where permits and/or licenses are required for the Concession and/or any improvements, the same must be first obtained from the regulatory agency having jurisdiction thereover.
Operating Responsibilities. Distributor, at all times, during the term of this Agreement, shall satisfy each of the following responsibilities: A. Distributor shall use its best efforts to stimulate and increase interest in the Products and consistently shall promote the sale of the Products to its customers within the Territory. B. Distributor shall maintain an office and warehouse in the Territory which shall be open and staffed adequately during normal business hours. C. Distributor shall maintain sales and service forces sufficient to cover the needs of the entire Territory and to promote the sale and support of the Products in a vigorous and successful manner. All of Distributor's sales personnel shall be thoroughly knowleageable concerning the Products and their specifications, features and benefits. Distributor shall conduct any training of its personnel necessary to impart such knowledge, shall satisfy the requirements of section 3D hereof and otherwise shall cooperate fully with CDC in any Product education programs which CDC may establish. D. Distributor shall perform timely and accurate presale engineering analyses to assist its customers in selecting the proper CDC Products (as well as ancillary equipment) with regard to size, type and utility usage. Distributor additionally shall determine any special requirements necessary to ensure that the items purchased will perform their intended functions in a satisfactory manner. Distributor shall determine local code requirements and ensure that the Products meet such requirements before sale and installation. E. Distributor shall make reliable recommendations for proper site requirements, including but not limited to, recommendations as to Product size and capacity, electrical service, steam supply, gas supply, air supply, drainage, ventilation, make up air, exhaust systems, adequate floor support, noise containment, and adequate working and service space. Distributor shall inspect the recommended site on one or more occasions (as necessary) prior to installation of the Products to ensure that such recommendations are proper. F. Subsequent to installation of the Products at the subject site, Distributor shall make any adjustments and/or corrections necessary for proper operation, and shall verify that all Products are installed and functioning as designed and intended by CDC, in a safe and efficient manner and to the satisfaction of the end user. Operating Responsibilities. CONTRACTOR shall manage and operate CENTER in a manner consistent with CITY’s philosophy as set forth above, so as to maintain a high quality child development and education center. In addition to the services as set forth in CONTRACT, CONTRACTOR is responsible for maintaining CENTER’s operating income through the collection of CENTER fees, pre-approved by BOARD in writing and must fully accept any and all risk of operating losses associated with the operation of CENTER. CONTRACTOR may not use the facility for any other purpose besides child care and related services. Contractor Shall: a) Establish a Center philosophy and program that promotes the best practices in the field of early care and education that is consistent with the CITY’s Philosophy as set forth in Section 5 of this CONTRACT. b) Establish and maintain a child care program with effective procedures to ensure the health, safety, and security for all persons while they are involved in CENTER program c) Develop and maintain a quality program curriculum, with culturally and developmentally appropriate goals and activities.
