Common use of Operation and Maintenance of Properties Clause in Contracts

Operation and Maintenance of Properties. Each Obligor, at its own expense, will, and will cause each Subsidiary to: (a) operate its Properties or cause such Properties to be operated in a careful and efficient manner in accordance with the practices of the industry and in compliance with all applicable contracts and agreements and in compliance with all Applicable Law, including, without limitation, applicable Environmental Laws, except where the failure to do so, individually or in the aggregate, would not reasonably be expected to have a Material Adverse Effect; and (b) preserve, maintain and keep in good repair, condition and working order (ordinary wear and tear and casualty or loss excepted) all Property material to the conduct of its business, including, without limitation, all equipment, machinery and facilities, except to the extent that any such failure to so maintain and keep in good repair, condition an working order would not reasonably be expected to have a Material Adverse Effect.
