Operational Decisions. Before selection by BMS of a Collaboration Program pursuant to exercise of BMS’ Co-Development Option, day-to-day operational level decisions concerning the identification, optimization, non-clinical development and clinical development (up through IND submission) of Collaboration Compound shall be made by EXEL, except as expressly stated in this Agreement. Following selection by BMS of a Collaboration Program pursuant to exercise of BMS’ Co-Development Option, day-to-day operational level decisions concerning the Development and Commercialization of Products in such Collaboration Program shall be made by the Party to which responsibility for such decisions has been allocated under the Agreement (each such decision, a “Party Implementation Matter”). Unless otherwise directed by the appropriate Committee(s), [*] shall be the lead Party, and shall be primarily responsible for, all Development, regulatory activities and Manufacturing and, subject to [*], Commercialization activities with respect to a Product. Any disputes with respect to a Party Implementation Matter shall first be referred to the Alliance Managers, and, if the dispute is not resolved within [*] after such referral to the Alliance Managers, then it shall, upon written notice by a Party to the other, be referred for resolution as follows: (A) disputes between designees of BMS and EXEL with respect to Development and Regulatory Approval matters shall be referred to the JDC for resolution; and (B) disputes between designees of BMS and EXEL with respect to Commercialization shall be referred to the JCC for resolution. In each case, except for Appealable Matters, the Committee to which such matter is referred shall have final decision-making authority with respect to such matter, and [*] shall [*] with respect to such matter, [*].

Day-to-day operational level decisions concerning the Development and Commercialization of Products shall be made by the Party to which responsibility for such decisions has been allocated under the Agreement (each such decision, a “Party Implementation Matter”). Unless otherwise specified in this Agreement or directed by the appropriate Committee(s), BMS shall be the lead Party, and shall be primarily responsible for, all Development, regulatory activities and Manufacturing and Commercialization activities with respect to a Product. Operational Decisions. All decisions concerning methods, the extent, times, procedures and techniques of any exploration, construction, development and mining operations related to the Property shall be made by the Payor. The Payor may suspend operations and production on the Property any time it considers appropriate.
Operational Decisions. A. Final decisions regarding call receipt, call processing and response plans, defined as responding agency plans that contain categories defining quantity, types of units, and type of response to any given area or nature code, for City Public Safety Responders shall be made by the City. Additionally, the County will work directly with the City to ensure that call taking and processing operations align with accreditation requirements and do not impede overall operations of the consolidated center or the City. However, any decisions that would impact multiple agencies shall be brought before the Communications Steering Committee for recommendation.
B. All other decisions relating to the 911 Call Center, including its budget and all operational decisions not relating to response plans, shall be made by the County Manager with input from the Communications Steering Committee as provided below.
C. The County reserves the ability to make day to day operation decisions as needed. The CSC will be updated on such decisions at the next meeting.

Subject to the provisions of this Section 6, all decisions concerning methods, the extent, times, procedures and techniques of any exploration, construction, development and mining operations related to the Property and the Project shall be made by the Owner in its sole and absolute

Subject to the provisions of this Section 9, all decisions concerning methods, the extent, times, procedures and techniques of any exploration, construction, development and mining operations related to the Property shall be made by the Payor in its sole and absolute discretion.
Operational Decisions. Day-to-day operational level decisions concerning a Party Development Task or a Party Commercialization Task shall be made by the party to which responsibility for such task has been allocated under this Agreement; provided that such decisions are not inconsistent with the Joint Development Plan, applicable Annual Development Plan, Joint Commercialization Plan or the express terms and conditions of this Agreement.
Operational Decisions. Unless this Agreement is terminated, for so long --------------------- as HCBB meets the Financial Goal set forth in Paragraph 9 below and complies with the terms of this Agreement, the Stilwell Group and the Stilwelx Xxxxxtor shall not ix xxx xxy interfere with any operational decisions of HCBB.
Operational Decisions. The fire station shall be jointly operated by COUNTY and CITY. All decisions pertaining to the daily operation of the joint fire station and any other decisions deemed to be operational by the Fire Chiefs from COUNTY and CITY shall be mutually agreed upon by both Chiefs.
