Operator’s Duties. Operator agrees to operate the farm in an efficient and xxxxxxx-like manner, control weeds and brush in the fields, fence rows, and road ditches, provide proper maintenance to control erosion and maintain terraces, waterways, and tiles, and building lots and all other areas of the farm where access is possible. The Operator agrees to furnish to the Owner by December 15 an annual report including 1) a summary of fertilizer, lime, and pesticide application records and 2) production or yield information about harvested crops each year, such as may be required for participation in Farm Service Agency programs or for setting crop insurance actual production history yields, and to use measurement methods acceptable for these purposes. Operator agrees, on termination of the lease, to yield prompt possession of the farm to the Owner and to leave the premises in as good condition as before they took possession or to compensate the Owner for damages.

Operator’s Duties a. The Operator shall conduct all Operations in a good workmanlike and efficient manner, in accordance with sound mining and other applicable industry standards and practices, but in no event shall the Operator be liable to the non-Operator for any act or omission resulting in damage or loss or for bearing the non-Operator's share of the costs thereof except to the extent caused by or attributable to the Manager's willful misconduct or gross negligence. b. The Operator shall prepare and submit reports on a monthly basis to the non-Operator respecting results obtained from the implementation of a Program. The Operator shall submit an annual report to the non-Operator on or before February 15 of each year describing its expenditures and the geologic data obtained from its Operations on the Property during the preceding calendar year. The non-Operator shall, upon prior notice, have access at its sole risk and expense to the Property for the purpose of viewing the work conducted thereon and shall also have access to all records of the Operator respecting Exploration and development work carried out on the Property, provided, however, that such access shall not unduly interfere with or disrupt the activities of the Operator. The Parties shall approve in writing, prior to release, all public announcements, press releases and/or disclosures to third parties, to be made by either Party regarding the Agreement and all matters related thereto. Approval by either Party shall not be unreasonably withheld. c. During the currency of this Agreement, the Operator shall, subject to Section 5.2(d) below, keep the Property in good standing, free and clear of all liens and encumbrances resulting from its activities, and shall maintain adequate insurance coverage protecting the Parties to this Agreement from third party claims. d. Should the Operator recommend that any of the mining claims comprising the Property be dropped, it shall give the non-Operator thirty (30) days notice and the non-Operator may elect to have such claims transferred to it. If the non-Operator fails to respond to the Operator's notice within thirty (30) days then the Operator may drop such claims and such claims shall thereupon cease to be part of the Property.

Operator’s Duties. Subject to anything contained to the contrary herein, the Operator shall be the sole operator of the Authority and shall conduct the overall management and control of the Authority. The Operator shall have the absolute discretion with respect to the authority and responsibility of the exercise and discharge of the following functions, all to be conducted as would a prudent operator under the same or similar circumstances: (a) ensure that the Authority Property is operated and maintained to a safe and consistent quality and in good condition, and in accordance with all applicable governmental orders, laws and regulations; (b) supervise the use of the Authority Property to ensure that such use complies with the terms and conditions established by the Operator including without limitation, causing any use to be in accordance with all laws, orders, rules, and regulations; (c) take all necessary steps as are reasonable in the circumstances to restrict use of all or any portion of the Authority Property to whomever the Operator so deems; (d) provide the Waste Management Services; (e) make all necessary reports relating to operations hereunder to the appropriate governmental agency and furnish copies of such reports to each Party when requested to do so; (f) keep and maintain for the Authority, proper books of accounts, in accordance with the accrual method of accounting, and entry shall be made of all such matters, transactions and things as are usually entered and written in books of accounts kept by persons engaged in concerns of similar nature to the Authority; (g) keep all books, letters and other records belonging, to or concerning the Authority at the offices of the Operator in Alberta; (h) extend to each Party, at such Party's sole risk, cost and expense the right to examine and inspect the Authority Property at all reasonable times within normal business hours; (i) cause the preparation of annual audited financial statements of the Authority prepared in accordance with Generally Accepted Accounting Principles from the separate books and accounts maintained in connection with the Authority on or before May 1 for the preceding fiscal year of the Authority; (j) make, for and on behalf of all Parties, application for any and all approvals or orders of governmental bodies or duly constituted authorities having jurisdiction which are necessary or convenient for this Agreement and Operations, and shall supply a copy of all such applications and submissions to a...
Operator’s Duties. 3.1 On behalf of the Owner the Operator must: 3.1.1 Have responsibility for the management (including marketing, administration, housekeeping and collection of rental) of the Villa; 3.1.2 Maintain and renew any licences, permits and registrations required for carrying out the letting; 3.1.3 Operate the letting business in a proper and business-like manner; 3.1.4 Make every reasonable attempt to the best of its ability to ensure that all guests observe the Resort Rules; 3.1.5 Perform and supervise maintenance and/or repairs to the internal Villa; 3.1.6 Facilitate check-in, check-out and housekeeping services; 3.1.7 Advertise and promote the villas participating in the Scheme including the Villa and the Resort to travel industry agents and operators; 3.1.8 Pay the Scheme Operating Expenses listed in Schedule 1 Part A from the Management Fee; 3.1.9 Keep full and adequate books of account and such other records as required to reflect the Rent and deductions associated with letting the Villa; 3.1.10 By the 25th day of each calendar month, forward a report to the Owner, outlining the calculation of the Gross Rooms Revenue, Management Fee, Pooled Owner Retention, Net Rental Income Owner's share of the Net Rental Income and Owner Return for the previous calendar month in accordance with this Agreement; 3.1.11 By the 25th day of each calendar month deposit into the Owner’s nominated bank account the Owner Return; 3.1.12 Establish a seasonal price and rate schedule for the Villa; 3.1.13 Comply with legal requirements and with any requirements from insurance companies covering any risk against the Resort.
Operator’s Duties. Subject to the provisions of this Agreement, including, without limitation, the provisions herein regarding the Annual Plan, Operator shall have absolute control and discretion in the management and operation of the Hotel and of all properties and funds relating thereto. Without limiting the generality of the foregoing, said control and discretion shall include the use of the Hotel for all customary purposes, and shall permit and obligate Operator to do the following in the name and for the account of Owner and to charge any cost thereof as an Expense: (a) Employ, pay, supervise and discharge all employees and personnel, including the General Manager of the Hotel, any or all of whom shall be employees of Owner or of Operator, as Operator shall determine; provided, however, that the employees of the Hotel shall not include any persons who are properly the personnel of the Sonesta Group's central office. Such authority or any part thereof may be delegated by Operator to one or more persons employed by Operator. Operator shall be entitled to charge reasonable amounts as Expenses for any services provided to the Hotel by the Sonesta Group's in-house executives and/or staff, which services would have been provided by third parties had such executives and/or staff not been available. Such services may include, without limitation, advertising, public relations, purchasing, design, specialized training, and computer programming and installation; (b) Supervise and maintain complete books and records including, without limitation, the books of account and accounting procedures of the Hotel; (c) Negotiate and enter into service contracts which Operator deems prudent in the ordinary course of business in operating the Hotel, including without limitation, contracts for gas, security, pest extermination, telephone and other services which Operator deems advisable; (d) Purchase Furniture, Fixtures and Equipment and Operating Equipment that are appropriate for the maintenance and operation of the Hotel in the normal course of business, and consume the same in the operation of the Hotel;
Operator’s Duties. In consideration of the compensation provided in Section 3 hereof, the Operator shall provide the following services (“Terminal Services’) to the Customer at the Terminals: (a) Unloading. Handling and Storage Services. The Customer shall deliver Product to these Terminals by marine vessel. The Operator shall unload the Customer’s Product from such marine vessels in accordance with prevailing industry standards relating to the handling of petroleum products. The Operator shall transfer the Product to, and store the Product in, any or all of the storage tanks listed in Attachment B (“Storage Tanks”), all of which are located at the Terminals. Said Tanks shall be reserved and dedicated at all times for the exclusive use of Customer. 1 (b) Out-Loading Services. The Customer’s Product may be removed from the Terminals by marine vessel. The Operator shall provide all out-loading services necessary to permit the Customer to transfer Product from the Storage Tanks to the Customer’s designated marine vessels for removal from the Terminals.
Operator’s Duties. Kykuit Resources, LLC shall be the Operator of the Contract Area, and shall conduct and direct and have full control of all operations on the Contract Area pursuant to the terms of this Agreement. Operator shall have no liability as Operator to the other parties for losses sustained or liabilities incurred, except such as may result from gross negligence or willful misconduct.
Operator’s Duties. All operators shall be required, as part of their employment, to perform the following duties: operators’ training, filing accident reports, passenger counting, maintaining uniforms, maintaining valid operator’s license, and attendance for interviews. Operators are the public representative of the Saint Xxxx Transit Commission and are expected to engage our passengers in a professional and non-confrontational manner. Radios shall be used for Commission business only. Inappropriate comments about passengers, the general public, or the Commission may be reason for discipline. Operators shall be expected to advise passengers of the correct fare and are responsible for punching Transcards and issuing transfers as required. In the interest of safety, all passengers shall be first directed to be seated or stand behind the safety line when seating is unavailable. When a vehicle is assigned to an operator, it is their responsibility to hand the bus over to another authorized employee or returns the vehicle to the garage.
