Common use of Opinion and 10b-5 Statement of Counsel for the Initial Purchasers Clause in Contracts

Opinion and 10b-5 Statement of Counsel for the Initial Purchasers. The Initial Purchasers shall have received from Xxxxxxx Procter LLP, counsel for the Initial Purchasers, such opinion and negative assurances statement, dated the Closing Date and any Additional Closing Date (if such date is other than the Closing Date), with respect to such matters as the Representatives may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.

Opinion and 10b-5 Statement of Counsel for the Initial Purchasers. The Initial Purchasers Representatives shall have received from on and as of the Closing Date or the Additional Closing Date, as the case may be, an opinion and 10b-5 statement of Xxxxxxx Procter LLP, counsel for the Initial Purchasers, such opinion and negative assurances statement, dated the Closing Date and any Additional Closing Date (if such date is other than the Closing Date), with respect to such matters as the Representatives may reasonably requirerequest, and the Company such counsel shall have furnished to such counsel received such documents and information as they may reasonably request for enabling to enable them to pass upon such matters.
