Common use of Opinion and Negative Assurance Letters of Counsel for the Company Clause in Contracts

Opinion and Negative Assurance Letters of Counsel for the Company. On the Closing Date, the Underwriter shall have received the opinion and negative assurance letter of Xxxxxx & Xxxxxxx LLP, counsel for the Company, dated as of such date, in form and substance reasonably satisfactory to the Underwriter.

Opinion and Negative Assurance Letters of Counsel for the Company. On the Closing Date, the Underwriter Representative shall have received the opinion and negative assurance letter of Xxxxxx Smith, Anderson, Blount, Dorsett, Xxxxxxxx & Xxxxxxx LLPXxxxxxxx, L.L.P., counsel for the Company, dated as of such date, in form and substance reasonably satisfactory to the UnderwriterUnderwriters. On the Closing Date, the Representative shall have also received the negative assurance letter of Xxxx and Xxxxx, P.A., counsel for the Company, dated as of such date, in form and substance reasonably satisfactory to the Underwriters.

On the Closing Date, the Underwriters shall have also received the negative assurance letter of Ledgewood, PC, counsel for the Company, dated as of such date, in form and substance reasonably satisfactory to the Representative.
