Opinion from the Selling Stockholder. Each of Linklaters LLP and Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Selling Stockholder, shall have furnished to the Representatives, at the request of the Selling Stockholder, their written opinions to the effect set forth in Exhibit A-3-I and Exhibit A-3-II, respectively, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
Opinion from the Selling Stockholder. An opinion of each of Linklaters LLP and Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Selling Stockholder, dated the Option Closing Date, relating to the Additional Shares to be purchased on such Option Closing Date and otherwise to the same effect as the respective opinions pursuant to Section 8(i) hereof.
Opinion from the Selling Stockholder. Xxxxxxxx & Xxxxx LLP, counsel for the Selling Stockholder, shall have furnished to the Underwriter, at the request of the Selling Stockholder, their written opinion to the effect set forth in Exhibit A-3, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter.
