Opinion of Australian Counsel for the Company. The Representative shall have received on the Closing Date the favorable opinion of Vistra Aus Corporate Services Pty Ltd t/a Vistra Australia Legal Services, Australian counsel to the Company, dated as of such Closing Date, including, without limitation, a customary negative assurance letter, addressed to the Representative in customary form reasonably satisfactory to the Representative.

The On the Closing Date, the Representative shall have received on the Closing Date the favorable opinion and negative assurance letter of Vistra Aus Corporate Services Pty Ltd t/a Vistra Australia Legal ServicesQR Lawyers, Australian counsel to the Company, dated as of such the Closing Date, including, without limitation, a customary negative assurance letter, Date and addressed to the Representative Representative, in customary form and substance reasonably satisfactory acceptable to the Representative.
