Common use of Opinion of Canadian Counsel for Company Clause in Contracts

Opinion of Canadian Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinion, subject to customary assumptions and qualifications, dated the Closing Time, of Osler, Xxxxxx & Harcourt LLP, Canadian counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B hereto.

Opinion of Canadian Counsel for Company. At the Closing Time, the Representatives Representative shall have received the favorable favourable opinion, subject to customary assumptions and qualifications, dated the as of Closing Time, of Osler, Xxxxxx & Harcourt DuMoulin Black LLP, Canadian counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter opinion for each of the other Underwriters to the effect set forth in Exhibit B A hereto. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the Province of British Columbia and the federal laws of Canada applicable therein, upon the opinions of counsel satisfactory to the Representative.

At the Closing Time, the Representatives shall have received the favorable an opinion, subject to customary assumptions and qualifications, dated the as of Closing Time, of Osler, Fraser Xxxxxx & Harcourt Casgrain LLP, Canadian counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B heretoC hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Canadian Counsel for Company. At the Closing Time, the Representatives shall have received for each of the favorable opinion, subject to customary assumptions Underwriters and qualificationsthe Sub-underwriter signed copies of an opinion substantially in the form set forth in Exhibit A hereto, dated the as of Closing Time, of OslerXxxxx, Xxxxxx White & Harcourt LLPXxxxxxxx, Canadian counsel for the Company, in form subject to such limitations, qualifications and substance reasonably satisfactory to counsel assumptions that are normal for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B heretoan opinion.
