Common use of Opinion of Canadian Counsel for Company Clause in Contracts

Opinion of Canadian Counsel for Company. At the Closing Time and at each Settlement Time, as applicable, the Underwriters shall have received a favorable opinion, dated as of the Closing Date and each Settlement Date, as applicable, of Xxxxxx Xxxxxx Xxxxxxx LLP, Canadian counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, to the effect set forth in Schedule B hereto. In giving such opinion, such counsel may rely, as to all matters governed by the laws of jurisdictions other than the laws of the Provinces of British Columbia, Alberta and Ontario, and the federal laws of Canada applicable therein, upon opinions of counsel satisfactory to the Underwriters. Such counsel may also state that, insofar as such opinion involves factual matters they have relied, to the extent they deem proper, upon certificates of officers of the Company and its subsidiaries and certificates of public officials.

In giving such opinion, such counsel may rely, as to all matters governed by the laws of jurisdictions other than the laws of the Provinces Province of British Columbia, Alberta and Ontario, Columbia and the federal laws of Canada applicable therein, upon opinions of local counsel satisfactory to the Underwriters.
