Common use of Opinion of Canadian Counsel for the Company Clause in Contracts

Opinion of Canadian Counsel for the Company. The Representative shall have received on the Closing Date the favorable opinion of Xxxxxxxxx Dellelce LLP, Canadian counsel to the Company, dated as of such Closing Date, including, without limitation, a customary negative assurance letter, addressed to the Representative in customary form reasonably satisfactory to the Representative.

Opinion of Canadian Counsel for the Company. The Representative shall have received on the Closing Date the favorable opinion of Xxxxxxxxx Dellelce Dentons Canada LLP, Canadian counsel to the Company, dated as of such Closing Date, including, without limitation, a customary negative assurance letter, addressed to the Representative in customary form reasonably satisfactory to the Representative.

The Representative shall have received on the Closing Date the favorable opinion of Xxxxxxxxx Dellelce Fasken Mxxxxxxxx DxXxxxxx LLP, Canadian counsel to for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated as of such the Closing Date or the Additional Closing Date, includingas the case may be, without limitation, a customary negative assurance letter, and addressed to the Representative Underwriters, in customary form and substance reasonably satisfactory to the RepresentativeRepresentatives, to the effect set forth in Annex A-2 hereto.
