Opinion of Cayman Islands Counsel for Company. At the Closing Time, the Representatives shall have received the opinion, dated the Closing Time, of Walkers, Cayman Islands counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Cayman Islands Counsel for Company. At the Closing Time, the Representatives Representative shall have received the opinion, dated the Closing Time, of Walkersfrom Xxxxxx and Calders, Cayman Islands counsel for the Company, such written opinion or opinions, dated the Closing Time, in form and substance satisfactory to counsel for the UnderwritersRepresentative, together with signed or reproduced copies of such letter for each of substantially to the other Underwriterseffect set forth in Exhibit D attached hereto.

Opinion of Cayman Islands Counsel for Company. At the Closing Time, the Representatives Representative shall have received the opinion, dated the as of such Closing Time, of WalkersXxxxxxx Xxxx & Xxxxxxx, Cayman Islands counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A hereto and to such further effect as counsel for the Underwriters may reasonably request.
