Common use of Opinion of Counsel Concerning Organization and Loan Documents Clause in Contracts

Opinion of Counsel Concerning Organization and Loan Documents. Each of the Lenders and the Agents shall have received favorable opinions addressed to the Lenders and the Agents in form and substance satisfactory to the Lenders and the Agents from Pxxxxxxx Xxxxx LLP, as counsel to the Borrowers and their respective Subsidiaries with respect to New York law and certain matters of Delaware corporate law and Maryland corporate law.

Opinion of Counsel Concerning Organization and Loan Documents. Each of the Lenders and the Agents Administrative Agent shall have received favorable opinions addressed to the Lenders and the Agents Administrative Agent in form and substance reasonably satisfactory to the Lenders and the Agents Administrative Agent from Pxxxxxxx Xxxxx (a) Seyfarth Xxxx LLP, as counsel to the Borrowers Borrower, MCRC and their respective Subsidiaries Subsidiaries, with respect to New York law and certain matters of Delaware corporate law and (b) Xxxxxxx Xxxxx LLP, as corporate counsel to MCRC, with respect to Maryland corporate law.
