Common use of Opinion of Counsel for Bank Clause in Contracts

Opinion of Counsel for Bank. At the Closing Time, the Placement Agents and the Selling Shareholder shall have received the favorable opinion, dated the Closing Time, of Xxxxxxxxx & Xxxxxxxx, LLP, counsel for the Bank, in form and substance satisfactory to the Placement Agents and the Selling Shareholder, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Placement Agents and the Selling Shareholder may reasonably request.

Opinion of Counsel for Bank. At the Closing Time, the Placement Agents and the Selling Shareholder shall have received the favorable opinion, dated the Closing Time, of Xxxxxxxxx & XxxxxxxxXxxxxxx XxXxxxxxx, LLP, counsel for the Bank, in form and substance satisfactory to the Placement Agents and the Selling Shareholder, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Placement Agents and the Selling Shareholder may reasonably requesthereto.
