Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received (i) the opinion of Xxxxxxx Xxxxx LLP, Maryland counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit A and (ii) the opinion or opinions of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.

Opinion of Counsel for the Company. On the Closing Date and any Subsequent Closing Date, the Representatives shall have received (i) the opinion of Xxxxxxx Xxxxx LLP, Maryland counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit A and (ii) the opinion or opinions of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit B.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received the favorable opinions of (i) the opinion of Xxxxxx Xxxxxxx Xxxxx LLP, Maryland counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit A A-1, and (ii) the opinion or opinions Xxxxxxx X. Xxxxxxxx, Senior Vice President, General Counsel and Corporate Secretary of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.A-2.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received (i) the favorable opinion of Xxxxxxx Xxxxxxxx Xxxxx LLP, counsel for the Company, and Xxxxxxx LLP, special Maryland counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit A A-1 and (ii) the opinion or opinions of Xxxxxx & Xxxxxxx LLPExhibit A-2, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.respectively.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received the opinions of (i) the opinion of Xxxxxxx Wachtell, Lipton, Xxxxx LLP& Xxxx, Maryland counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit A B and (ii) the opinion or opinions Xxxxx X. Xxxxxxx, Deputy General Counsel — Finance/Securities of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached hereto as Exhibit B.C.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received the favorable opinion, dated as of such Closing Date, of (i1) the opinion of Xxxxxxx Xxxxx Xxxxxx Xxxxxx Xxxxxxxxx Xxxx and Xxxx LLP, Maryland counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit A A-1 and (ii2) the opinion or opinions Xxxx X. Xxxxxxxxx, Senior Vice President, General Counsel and Secretary of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.A-2.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received the favorable opinions of (i) the opinion of Xxxxxxx Xxxxx & XxXxxxx LLP, Maryland counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit A A-1, and (ii) Xxxx Xxxxxxx, the opinion or opinions Assistant General Counsel of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit B.A-2.

Opinion of Counsel for the Company. On the Closing Date and any Subsequent Closing Date, the Representatives shall have received (i) the favorable opinion of Xxxxxxx Xxxxx Xxxx & Xxxxxxxxx LLP, Maryland counsel for the Company, dated as of the such Closing Date or Subsequent Closing Date, the form of which is attached as Exhibit A and (ii) the opinion or opinions of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached hereto as Exhibit B.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received the favorable opinions of (i) the opinion of Xxxxxxx Xxxxx & XxXxxxx LLP, Maryland counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit A B-1, and (ii) Xxxx Xxxxxxx, the opinion or opinions Assistant General Counsel of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the such Closing Date, the form of which is attached as Exhibit B.B-2.

Opinion of Counsel for the Company. Opinion of Counsel for the Company. On each of the Closing Date, Date and any Subsequent Closing Date the Representatives Representative shall have received (i) the favorable opinion and negative assurance letter of Xxxxx Xxxxxxx LLP, special counsel for the Company, each dated as of such Closing Date, the forms of which are attached as Exhibits B-1 and B-2, respectively, and (ii) the favorable opinion of Xxxxxxx Xxxxx LLP, Maryland counsel for the General Counsel of the Company, dated as of the such Closing Date, the form of which is attached as Exhibit A and (ii) the opinion or opinions of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.B-3.

Opinion of Counsel for the Company. On the Closing Date, the Representatives shall have received the favorable opinions of (i) the opinion of Pillsbury Xxxxxxxx Xxxx Xxxxxxx Xxxxx LLP, Maryland counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit A A-I hereto and (ii) the opinion or opinions Xxxxxx X. Xxxxxxx, Esq., General Counsel of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.A-II hereto.

Opinion of Counsel for the Company. Opinion of Counsel for the Company. Xxxxxxxx, Senior Legal Counsel of the Company, each dated as of the such Closing Date, in form and substance satisfactory to the form of which is attached as Exhibit A and (ii) the opinion or opinions of Xxxxxx & Xxxxxxx LLP, special corporate and tax counsel for the Company, dated as of the Closing Date, the form of which is attached as Exhibit B.Representatives.
