Opinion of Counsel for Trustee. At the Closing Time, each Underwriter shall have received the favorable opinion, dated as of the Closing Time, of counsel for the Trustee, in form and substance satisfactory to counsel for the Underwriters.
Opinion of Counsel for Trustee. At the Closing Date, the Representatives shall have received a written opinion, addressed to the Underwriters and dated as of the Closing Date, of Xxxxxxxxx Xxxxxxx, LLP, counsel for the Trustee (“Trustee Counsel”), in form and substance reasonably satisfactory to the Representatives, substantially in the form attached hereto as Exhibit G.
Opinion of Counsel for Trustee. The favorable opinion of Trustee Counsel, in form and substance reasonably satisfactory to the Representatives and dated as of such Option Closing Date, relating to the Option Securities to be purchased on such Option Closing Date and otherwise to the same effect as required by Section 6(d) hereof
Opinion of Counsel for Trustee. At the Closing Time, the Representative shall have received the favorable opinion of Pryox, Xxshxxx, Xxerxxx & Xlynx XXX, counsel to the Trustee, dated the Closing Time and satisfactory in form and substance to counsel for the Underwriters, substantially to the effect that:

Each of the Certificate Holders and the Lessee shall have received a favorable opinion, dated such date addressed to each of them from Richxxxx, Xxxxxx & Xinger, special counsel for Wilmington Trust Company and the Trustee, which opinion shall be substantially in the form of Exhibit E hereto.
Opinion of Counsel for Trustee. At Closing Time, the Representatives shall have received the favorable opinion as to Delaware law, dated as of Closing Time, of Xxxxxx Xxxxxxxx LLP, counsel for the Property Trustee and Delaware Trustee (each as defined in the Trust Agreement), in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably request. In giving such opinion such counsel may rely, as to matters governed by the laws of jurisdictions other than the law of the State of Delaware and federal law of the United States, upon the opinions of Counsel to the Representatives.

Opinion of Counsel for Trustee. The opinion of Pryor Cashman, counsel for the Trustee, in form and substance satisfactory to the Underwriters and otherwise to the same effect as the opinion required by Section 6(i).
Opinion of Counsel for Trustee. At Closing Time, the Representative shall have received, at the request of the Company, the favorable opinion, dated the Closing Time, of Xxxxxxx X. Xxxxxx, General Counsel, Corporate Trust Services, U.S. Bank National Association.
