Opinion of Counsel to the Borrower Parties. A favorable written opinion, dated the Closing Date, of Xxx, Castle & Xxxxxxxxx LLP, counsel to the Borrower and furnishing such opinions at the Borrower’s request on behalf of the other Borrower Parties, and covering such matters relating to the Borrower Parties, this Agreement, the other Loan Documents, and the Transactions as the Administrative Agent shall reasonably request. The Borrower hereby requests such counsel to deliver such opinion to the Lenders and the Administrative Agent.

Opinion of Counsel to the Borrower Parties. (i) A favorable written opinion, dated the Closing Date, of Cxx, Castle & Nxxxxxxxx LLP, counsel to the Borrower and furnishing such opinions at the Borrower’s request on behalf of the other Borrower Parties and Guarantor, and covering such matters relating to the Borrower Parties and Guarantor, this Agreement, the other Loan Documents, and the Transactions as the Administrative Agent for the benefit of the Lenders shall reasonably request, and (ii) a favorable opinion of Administrative Agent-approved local counsel to the Borrower in Hawaii, as to the matters specific to Hawaii law pertaining to the Bxxxxx Square Project and such other matters relating to the Borrower Parties, this Agreement, the other Loan Documents, and the Transactions as the Administrative Agent shall reasonably request. The Borrower hereby requests such counsel to deliver such opinion to the Lenders and the Administrative Agent.

  • Opinion of Counsel to the Borrower A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Dechert LLP, counsel for the Obligors, in form and substance reasonably acceptable to the Administrative Agent and covering such matters as the Administrative Agent may reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
