Opinion of Borrower's Counsel means a legal opinion from Borrower's legal counsel including, without limitation, the opinions relating to Borrower and this loan transaction as set forth on Schedule "1.50" attached hereto.
Opinion of Borrower's Counsel means an opinion from Borrower’s counsel, dated the Effective Date and addressed to Lender, substantially in form and content as set forth on Schedule “1.31” hereto.”
5. Amendment to Section 2.4. Opinion of Borrower's Counsel. The Lender shall have received a favorable written opinion of counsel for the Borrower, dated the date of the Loan and satisfactory in form and substance to the Lender, as to the matters referred to in Xxxxxxx 0, xxxxxx xxxxxxxxxxxxx (x), (x), (x), (1) and (o). Lender may also request a favorable written opinion of counsel for Inmold, dated the date of the Loan and satisfactory in favor and substance to the Lender.
Opinion of Borrower's Counsel means an opinion rendered to the Lender by Borrower's counsel in a form acceptable to the Lender and its counsel. Partners shall mean all current general partners of the Borrower and shall include all additional and substitute general partners, if any, admitted to such general partnership pursuant to such Organizational Agreement as it may be amended or supplemented in accordance with this Agreement.
Opinion of Borrower's Counsel means an opinion from Borrower's counsel, dated the Effective Date and addressed to Lender, which opinion shall be in form and content reasonably satisfactory to Lender and shall include, but not be limited to, the following:
(a) Borrower has the authority and capacity to enter into and perform under the Loan Documents; (b) this Agreement and all other Loan Documents executed by Borrower in connection herewith are valid and binding obligations against Borrower, fully enforceable in accordance with their respective terms under applicable laws; (c) there are, to Borrower's counsel's knowledge, no actions or proceedings pending or threatened in any court or governmental department or agency which would affect the validity of this Agreement or any other Loan Documents; (d) the delivery by Borrower of this Agreement and the other Loan Documents and compliance by Borrower with the terms of this Agreement and all other Loan Documents do not conflict with or violate the constituent documents of Borrower; and
Opinion of Borrower's Counsel means the form of opinion of Xxxxxxx Xxxxxxxx Xxxx & Xxxxxx, P.C., counsel for the Borrowers, in the form of Exhibit E hereto.
