Opinion of Counsel to the Borrowers. The Administrative Agent shall have received a customary written opinion of counsel for the Borrowers with respect to the Qualified Borrower Guaranty, in form and substance reasonably satisfactory to the Administrative Agent;
Opinion of Counsel to the Borrowers. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (i) Wachtell, Lipton, Xxxxx & Xxxx, special counsel for the Borrowers and (ii) internal counsel for the Borrowers, in each case, in form and substance reasonably satisfactory to the Administrative Agent (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).
Opinion of Counsel to the Borrowers. An opinion, dated the ----------------------------------- Restatement Effective Date, of Xxxx X. Xxxxxxxx, Xx., Esq., counsel to the Borrowers, substantially in the form of Exhibit B-2 hereto and covering such other matters as the Administrative Agent may reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).
Opinion of Counsel to the Borrowers. An opinion of counsel to each of the Borrowers to such effect as Tennessee Farmers may reasonably require; and
Opinion of Counsel to the Borrowers. An opinion of the Deputy General Counsel of the Borrowers, substantially in the form of Exhibit B hereto and covering such other matters as the Administrative Agent or any Bank may reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Banks and the Administrative Agent).
Opinion of Counsel to the Borrowers. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Hellxx 55 - 49 - Ehrmxx Xxxte & McAuxxxxx, xxunsel for the Borrowers, substantially in the form of Exhibit B, and covering such other matters relating to the Borrowers, this Agreement or the Transactions as the Required Lenders shall reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).
Opinion of Counsel to the Borrowers. An opinion, dated the Effective Date, of Jxxx X. Xxxxxxxx, Xx., Esq., General Counsel and Secretary of the Borrowers, substantially in the form of Exhibit B-3 hereto and covering such other matters as the Administrative Agent may reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).
Opinion of Counsel to the Borrowers. Lenders' Agent and the Lenders shall have received such favorable written opinion or opinions of such counsel as is acceptable to Lenders' Agent as counsel to the Borrowers, dated the date of the initial Loans or the issuance of the initial Letter of Credit Guaranty, whichever first occurs, substantially in the form of Exhibit C.
Opinion of Counsel to the Borrowers. The Administrative Agent shall have received, in form and substance satisfactory to the Administrative Agent, an opinion of counsel to the Borrowers opining to such matters as are reasonably requested by the Administrative Agent.
Opinion of Counsel to the Borrowers. A written opinion (addressed ----------------------------------- to the Administrative Agent and the Lenders and dated the Effective Date) of Moomjian, Waite, Wactlar & Coleman LLP, counsel for the Borrowers, substantially in the xxxx xf Exhibit C, and covering such other matters relating to the Borrowers, this Agreement or the Transactions as the Administrative Agent shall reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).
