Common use of Opinion of Depositary’s Counsel Clause in Contracts

Opinion of Depositary’s Counsel. At the Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of [__], counsel for the Depositary, together with signed or reproduced copies of such letter for each of the other Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters.

Opinion of Depositary’s Counsel. At the Closing Time, the Representatives shall have received an opinion, dated as of the Closing Time, of [__]Xxxxxxxxx Xxxxxxx Xxxx & Xxxxx LLP, counsel for the Depositary, in form and substance satisfactory to counsel of the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in form Exhibit A-4 hereto and substance to such further effect as the Underwriters may reasonably satisfactory to counsel for the Underwritersrequest.

Opinion of Depositary’s Counsel. At the Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of [__]Xxxxxxxxx Bellknap Webb & Tyler LLP, counsel for the Depositary, together with signed or reproduced copies of such letter for each of the other Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A-8 hereto.

Opinion of Depositary’s Counsel. At the Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of [__]Xxxxxxxxx Bellknap Webb & Tyler LLP, counsel for the Depositary, together with signed or reproduced copies of such letter for each of the other Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A-5 hereto.
