Opinion of U.S. Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxxxxxx & Xxxxxxx LLP, U.S. counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriters, dated as of such date.
Opinion of U.S. Counsel for the Underwriters. The Representatives shall have received on and as of the Closing Date or the Additional Closing Date, as the case may be, an opinion of Skadden, Arps, Slate, Mxxxxxx & Fxxx LLP, U.S. counsel for the Underwriters, with respect to such matters as the Representatives may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.
Opinion of U.S. Counsel for the Underwriters. At the Closing Time and each Date of Delivery, the Representatives shall have received an opinion, dated as of the Closing Time or such Date of Delivery, as the case may be, of Shearman & Sterling LLP, U.S. counsel for the Underwriters, in form and substance satisfactory to the Representatives.
Opinion of U.S. Counsel for the Underwriters. At such Closing Date, you shall have received the opinion and letter of Xxxxxx & Xxxxxxx LLP, special U.S. counsel for the Underwriters, dated such Closing Date, addressed to the Underwriters and in form and substance reasonably satisfactory to the Underwriters, covering such matters as are customarily covered in such opinions.
Opinion of U.S. Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., United States counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriters, dated as of such date.
Opinion of U.S. Counsel for the Underwriters. On the Closing Date and each Option Closing Date the Representative shall have received the negative assurance letter of Xxxxxx, Xxxxxxx, Xxxxx and Xxxxxxxx & Worcester LLP, counsel for the Underwriters in connection with the offer and sale of the Securities, in form and substance satisfactory to the Underwriters, dated as of such date.
Opinion of U.S. Counsel for the Underwriters. The Representatives shall have received from O’Melveny & Xxxxx LLP, U.S. counsel to the Underwriters such opinion or opinion, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company and the Selling Shareholders shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering such opinion, O’Melveny & Xxxxx LLP may rely as to all matters governed by Cayman Islands law upon the opinion of Xxxxxx and Xxxxxx referred to above and all matters governed by PRC law upon the opinion of Xxx Xxx PRC Lawyers referred to above.
Opinion of U.S. Counsel for the Underwriters. The Representative shall have received on and as of the Closing Date or the Additional Closing Date, as the case may be, an opinion of Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, U.S. counsel for the Underwriters, with respect to such matters as the Representative may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters. In rendering such opinion, Xxxxxxx Xxxxxxx & Xxxxxxxx LLP may rely as to the incorporation of the Company and all other matters governed by PRC, Singapore, British Virgin Islands or Cayman Islands law upon the opinions referred to above and below.
Opinion of U.S. Counsel for the Underwriters. The Representatives shall have received an opinion and negative assurance letter of Xxxxxxxx & Xxxxx International LLP, U.S. counsel for the Underwriters, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives. The Representatives shall have also received an opinion of Xxxxxx & Xxxxxxx LLP, U.S. counsel for the Underwriters, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives.
Opinion of U.S. Counsel for the Underwriters. The Underwriters shall have received an opinion, dated as of the Closing Date, of Cahill Gordon & Reindel LLP, U.S. counsel for the Underwriters, xx forx xxx xubstance satisfactory to the Representative.
